正道集團(01188.HK)擬3.92億港元收購目標公司Best Knob International全部股權
格隆匯10月17日丨正道集團(01188.HK)公吿，於2022年8月28日，公司與賣方訂立買賣協議(經補充協議補充），據此，公司已有條件同意收購而賣方已有條件同意出售銷售股份(相當於目標公司Best Knob International Limited全部已發行股份)，代價為3.92億港元。
目標公司為於香港註冊成立的有限公司。目標公司為投資控股公司，於本公佈日期持有漢喜龍的80%股權，及並無任何其他重大資產或負債。漢喜龍為於2003年在中國註冊成立的有限公司。漢喜龍集團主要從事汽車零配件製造，包括變速箱、傳動系統及配件。漢喜龍及其附屬公司漢喜龍汽車零部件(嘉興)有限公司被認定為中國高新技術企業。
漢喜龍集團於上海擁有及營運一間製造工廠，該工廠擁有逾280名僱員。漢喜龍集團為中國領先的汽車傳動系統生產商，已於中國註冊超過60項與變速箱、傳動系統及配件有關的專利。漢喜龍集團採購各類原材料，用以製造其產品，其後銷售予其客户。漢喜龍集團的客户組合包括中國眾多屬國有企業及上市公司的領先汽車製造商。
憑藉(i)集團於電池系統及高科技電動車設計的經驗、專業知識及技術；及(ii)漢喜龍集團的傳動系統及客户組合，公司認為收購事項可透過整合漢喜龍集團的傳動部件供應連同集團的電池組及系統產生協同效應，同時為擴大集團向中國領先汽車製造商銷售電池系統的銷售渠道提供良機。
由於漢喜龍集團向汽車製造商(包括但不限於國有企業及上市公司)供應不同零部件，收購事項可令集團將其電池組連接至漢喜龍集團的傳動系統及發電機，並向汽車製造商提供全套服務，而汽車製造商已於過往向漢喜龍集團表明其需求。因此，收購事項可改善集團的收入來源及盈利能力。集團認為，集團於完成後將擁有充足的營運水平。因此，公司認為收購事項為集團於汽車行業擴張的良機。
