橙天嘉禾(01132.HK)：合營威秀影城進行增資以確保持續及穩定營運
格隆匯10月14日丨橙天嘉禾(01132.HK)公吿，於本公佈日期，合營公司威秀影城股份有限公司由Golden Sky Entertainment(公司的間接全資附屬公司)、GH Investment(公司的間接全資附屬公司)、中藝國際公司、寶座公司及大向分別擁有約35.70%、0.01%、30.00%、25%及9.29%權益。合營公司為根據台灣法律註冊成立的有限責任公司，主要從事電影院經營及投資控股。
於2022年10月3日，合營公司通過董事會決議案，以發行1100萬股額外合營公司股份及將已發行合營公司股份總數由8900萬股合營公司股份增加至1億股合營公司股份。因此，合營公司邀請合營公司股東按其各自在合營公司的現有股權比例認購額外合營公司股份。
於2022年10月14日，認購人向合營公司提交認購通知，以每股合營公司股份新台幣10元認購合共392.8萬股合營公司股份，總認購價為新台幣3928萬元。合營夥伴有資格以每股合營公司股份新台幣10元認購合共707萬股合營公司股份，總認購價為新台幣7072萬元。
假設合營公司股東將全數認購額外合營公司股份，有關認購將構成對合營公司的按比例增資，而合營公司股東於合營公司的股權將維持不變。假設僅有認購人認購額外合營公司股份，於進一步增資後，合營公司將由Golden Sky Entertainment、GH Investment、中藝國際公司、寶座公司及大向分別擁有約38.41%、0.01%、28.73%、23.94%及8.90%權益。
集團有信心，一旦台灣COVID-19疫情緩和及大片逐漸上畫後，合營公司的業績將迅速重回正軌。集團繼續致力於合營公司，並繼續將合營公司發展成為台灣領先的綜合娛樂運營商。為配合集團打造綜合娛樂樞紐的戰略，合營公司一直專注於向相關領域擴充。特別是，合營公司早已承諾於2022年至2024年開設四家共設有56塊銀幕的新電影院，此舉將進一步提升合營公司在台灣當地的市場份額。董事會認為，進一步增資將有利於確保合營公司持續及穩定營運，並支持其進一步業務發展。
