天奈科技(688116.SH)：擬與上海錦源晟、國城礦業設正極公司及前驅體公司
格隆匯9月28日丨天奈科技(688116.SH)公佈，為滿足下游客户的市場需求，擴大產業佈局，進一步拓展業務領域，提高公司整體核心競爭能力，天奈科技擬與上海錦源晟、國城礦業簽訂《江蘇天奈科技股份有限公司與上海錦源晟新能源材料有限公司及國城礦業股份有限公司關於設立合資公司之投資協議》共同投資設立兩家合資公司，分別從事磷酸鐵鋰、磷酸錳鐵鋰新型正極材料及鋰電池正極材料前驅體業務(以下分別稱為“正極公司”和“前驅體公司”)，其中：
1、正極公司
正極公司擬開展鋰離子電池高導電新型正極材料的研發、生產、銷售；正極材料導電性提升改性開發；電子新材料的開發、研究、技術諮詢和經營；國內商業及物資供銷業；進出口業務等業務；
正極公司的投資總額暫定為10億元(最終投資總額根據經三方確認的正極公司建設項目可研報吿的項目建設資金需求確定)。其中，初始註冊資本為1億元，由三方股東以現金形式投入；天奈科技認繳出資5500萬元，持有正極公司55%的股權；上海錦源晟認繳出資3000萬元，持有正極公司30%的股權；國城礦業認繳出資1500萬元，持有正極公司15%的股權。投資總額的50%-70%根據項目建設資金需求由三方股東按屆時持股比例以增資或股東借款等方式投入。投資總額的30%~50%由正極公司依法向金融機構申請貸款籌措。
2、前驅體公司
前驅體公司擬開展鋰電池正極材料前驅體、電池及新能源的研發、生產、加工與銷售，從事貨物及技術的進出口業務等業務。
前驅體公司的投資總額為前驅體公司的投資總額暫定為10億元(最終投資總額根據經三方確認的前驅體公司建設項目可研報吿的項目建設資金需求確定)。其中，初始註冊資本為1億元，由三方股東以現金形式投入；天奈科技認繳出資2500萬元，持有前驅體公司25%的股權；上海錦源晟認繳出資5500萬元，持有前驅體公司55%的股權；國城礦業認繳出資2000萬元，持有前驅體公司20%的股權。投資總額的50%-70%根據項目建設資金需求由三方股東按屆時持股比例以增資或股東借款等方式投入。投資總額的30%~50%由前驅體公司依法向金融機構申請貸款籌措。
此次對外投資擬開展的磷酸鐵鋰、磷酸錳鐵鋰新型正極材料業務，旨在利用公司先進的碳納米管制備技術和正極材料相結合，形成新型的複合正極材料，該新型正極材料將會提升下游鋰電池的相關性能，將會是碳納米管應用的一個重要發展方向。
