時代電氣(03898.HK)擬投資中低壓功率器件產業化建設項目
格隆匯9月22日丨時代電氣(03898.HK)公吿，因應集團的發展戰略需求，公司，通過其控股附屬公司株洲中車時代半導體有限公司("中車時代半導體")，擬投資中低壓功率器件產業化建設項目，包括中低壓功率器件產業化(宜興)一期建設項目和中低壓功率器件產業化(株洲)建設項目，投資總額約人民幣111.19億元。
宜興子項目的實施主體擬為中車時代半導體擬設立並全資擁有的附屬公司，宜興中車時代半導體有限公司(暫定名，以公司工商登記名稱為準，該公司尚未註冊成立，待項目獲批准後辦理公司工商登記)，註冊資本為人民幣36億元，經營範圍擬包括功率半導體及相關產品的研發、生產、銷售；提供相關的技術諮詢、技術服務和技術轉讓；自營和代理商品、技術的進出口業務(國家法律法規禁止和限制的除外)；場地租賃；設備租賃；普通貨物運輸；倉儲。(最終以登記核定為準)。於公吿日，由於宜興項目公司目前尚未設立，故沒有其相關財務數據。
株洲子項目的實施主體擬為中車時代半導體。中車時代半導體分別由公司持股約93.78%及株洲芯連接零號企業管理合夥企業(有限合夥)(一家於中國成立的有限合夥企業)(作為中車時代半導體員工持股平台)持股約6.22%。
株洲子項目位於中國湖南省株洲市軌道交通產業園，投資金額約人民幣529,286萬元，將用作購置土地約266畝、新建廠房等建築約78,740平方米、新建8英寸中低壓組件基材生產線及相關配套設施。預計建設工期為24個月。項目建成達產後，可新增年產36萬片8英寸中低壓組件基材的生產能力，該項目產品主要應用於新能源發電及工控、家電領域。該項目資金來源為中車時代半導體自有及自籌資金。
董事(包括獨立非執行董事)考慮了進行中低壓功率器件產業化建設項目的必要性及可行性，包括但不限於：
(1)上述項目的實施，能夠有效提升集團中低壓組件基材、中低壓模塊的產能，推進相關產品的國產化，符合產業政策和行業發展趨勢，有助於本集團把握市場機遇，提升可持續發展能力；(2)上述項目具備實施的基礎條件，於項目建成後，將與集團現有生產基地共同形成完善的組件產品產業化生產鏈，繼而建成大規模的電力電子產品產業化生產基地，產品涵蓋高壓、中低壓芯片及模塊，符合本集團自身的發展戰略需求；(3)宜興子項目產品主要應用於新能源汽車領域，而株洲子項目產品則主要應用於新能源發電及工控、家電領域，兩個子項目的產品市場需求均廣闊，為上述項目的實施提供市場保障；(4)面對預期爆發式增長的中低壓組件市場，本集團現有產能將不足以覆蓋長期市場需求，考慮到新建芯片產線到量產時間跨度將達30個月，為確保中車時代半導體始終處於行業前列地位，需提前佈局實施芯片產能提升計劃，穩固市場競爭優勢地位；及(5)上述項目為新建項目，項目工程建設與技術方案合理，能滿足生產要求及確保上述項目順利實施。
