中國通海金融(00952.HK)控股權易手予行政總裁及主席 獲溢價16%提全購
中國通海金融(00952.HK)公布,其控股股東泛海控股國際金融發展持有的40.99億股股份(約佔公司股本66.13%)已根據擔保契據被委任接管人,其後按購股契據,將上述股份售予新華通,代價合共約8.2億元,相當於每股待售股份0.2元,較該股昨日(15日)收市價0.172元溢價約16.3%。
新華通由公司執行董事兼行政總裁林建興及執行董事兼主席韓曉生分別擁有51%及49%。完成交易後,新華通及其一致行動人士將持有公司股本約67.96%,根據收購守則規則,須就所有已發行股份作出無條件強制現金要約,每股要約價0.2元,要約股份總數約為19.85億股,總值約3.97億元。
新華通擬於要約截止後維持公司於聯交所的上市地位。
