中國通海金融(00952.HK)：華新通有限公司擬溢價約16.3%提收購要約
格隆匯9月16日丨華新通有限公司及中國通海金融(00952.HK)聯合公吿，董事會已獲吿知就賣方持有的約40.985億股股份(約佔公司全部已發行股本66.13%)已根據擔保契據項下的接管人委任契據被委任接管人。因此，根據收購守則，要約期已於規則3.7公吿日期(即2021年10月27日)開始。
董事會獲要約人吿知，2022年9月15日，要約人(即華新通有限公司，作為買方)、賣方(即泛海控股國際金融發展有限公司)及接管人(即安永企業財務服務有限公司的徐子超及蘇潔儀)訂立購股契據，據此，要約人已有條件同意購買，而賣方(由接管人根據擔保契據授予的權力以其代理人身份行事，無須承擔個人責任)已有條件同意出售約40.985億股股份(即待售股份)(佔中國通海金融於該聯合公吿日期全部已發行股本約66.13%)。代價合共約為8.197億港元，相等於每股待售股份0.2港元。要約價每股要約股份0.2港元較最後交易日聯交所所報收市價0.172港元溢價約16.3%。
於該聯合公吿日期，要約人及其一致行動人士(賣方集團除外)持有約1.131億股，約佔公司全部已發行股本的1.82%。由於要約人及其一致行動人士(賣方集團除外)於完成後將擁有公司全部已發行股本的約67.96%，根據收購守則規則26.1，要約人須就所有已發行股份(要約人及其一致行動人士(賣方集團除外)已擁有或同意收購的股份除外)作出無條件強制現金要約。
於該聯合公吿日期，廣潤持有約2.719億股，約佔公司全部已發行股本的4.39%。2022年8月8日，廣潤向要約人作出廣潤不可撤銷承諾，據此廣潤將(i)不會接納任何股份要約；(ii)不會直接或間接出售股份、就其授出任何購股權或以其他方式對其進行處置；及(iii)不會採取任何行動以致股份可供提呈接納。
於該聯合公吿日期，耀運持有約3.069億股，約佔公司全部已發行股本的4.95%。2022年8月8日，耀運向要約人作出耀運不可撤銷承諾，據此耀運將(i)不會接納任何股份要約；(ii)不會直接或間接出售股份、就其授出任何購股權或以其他方式對其進行處置；及(iii)不會採取任何行動以致股份可供提呈接納。
