光控精技(03302.HK)與CTL、SCY及目標公司Liteleaf Pte. Ltd.訂立認購協議
格隆匯9月6日丨光控精技(03302.HK)公吿，於2022年9月6日，公司、CTL、SCY及目標公司Liteleaf Pte. Ltd.訂立認購協議，據此，公司、CTL及SCY已有條件同意認購，及目標公司已有條件同意配發及發行分別合共412萬股、3,486,756股及300,637股認購股份，認購價為每股認購股份1.00新加坡元。認購事項將分四批完成。
於本公吿日期，CTL及SCY分別持有400,000股及100,000股目標公司股份，佔目標公司已發行股本的80%及20%。於完成後，目標公司的股本將由500,000新加坡元增加至840.7萬新加坡元，將分別由公司、CTL及SCY持有約49%、46.23%及4.77%。
目標公司為一間於2015年4月17日在新加坡註冊成立的獲豁免私人股份有限公司，併為Grow Systems International Pte. Ltd.(一間於新加坡註冊成立的私人股份有限公司)505,404股普通股(佔已發行及繳足股本總數的51.7%)的法定及實益擁有人。目標集團主要從事綠葉蔬菜及水果種植(水耕)，以及透過智能耕作管理系統提供虛擬平台。該公司亦提供農業技術諮詢服務並優化農業設備及農業種植系統機械化。除了努力不懈鞏固主要業務的市場地位，集團亦尋求機遇，與能夠為業務提供協同價值的企業組成合營公司、戰略合作及╱或收購，務求擴充及拓展業務，以及進軍新市場及接觸新客户。
認購事項的目的為投資於精準農業視覺系統，即集團的目標技術能力之一。認購事項反映集團持續尋求擴張機遇、藉助集團強大的業務網絡、穩固的行業知識以及半導體加工設備行業領域的上下游資源優勢的策略。完成後，公司將有權於目標公司的董事會提名兩名董事。此外，集團一直尋求投資機遇強化其財務投資，以提高集團的長期增長潛力。基於認購事項，集團預期將改善其資金使用效率，並有望從目標公司收取長期投資收入。
