洪九果品(06689.HK)擬9月5日掛牌上市 引入廣發全球及南方基金作為基石
格隆匯8月24日丨洪九果品(06689.HK)發佈公吿，公司擬全球發售1401.25萬股股份，其中香港發售股份140.14萬股，國際發售股份1261.11萬股，另有15%超額配股權；2022年8月24日至8月29日招股，預期定價日為8月29日；發售價將為每股發售股份40.00-52.00港元，每手買賣單位100股，入場費約5252港元；中金公司為獨家保薦人；預期股份將於2022年9月5日於聯交所主板掛牌上市。
集團是中國高速增長的多品牌鮮果集團，擁有“端到端”的供應鏈。集團專注於主要原產於中國、泰國及越南的優質水果的全產業鏈運營。集團經營水果行業近20年，擁有深厚行業經驗，截至最後實際可行日期，形成了以榴蓮、山竹、龍眼、火龍果、車釐子、葡萄為核心共49種品類的水果產品組合。集團在100多個優質水果原產地為消費者挑選及採購品質鮮果，並通過直採、標準化加工及數字化供應鏈管控，在水果領域打造了一個覆蓋多個品類的自有水果品牌組合。集團通過對優質原產區的深入佈局、覆蓋全國的銷售及分銷網絡以及高效的“端到端”的供應鏈，可以將鮮果產品直接從各地果園送達全國零售終端。於營業紀錄期內，集團專注於發展在國內市場份額提升迅速且高貨值的果品種類。根據灼識諮詢的資料，按2021年的銷售收入計，集團是中國最大的榴蓮分銷商，以及火龍果、山竹及龍眼的前五大分銷商之一。
集團已訂立基石投資協議，據此，基石投資者已同意在若干條件規限下按發售價認購以合共約2600萬美元可購買的一定數目的發售股份。假設發售價為每股發售股份46.00港元(即本招股章程所載指示性發售價範圍的中位數)，則基石投資者將予認購的發售股份總數將為443.33萬股發售股份。基石投資者包括廣發全球及南方基金。
假設發售價為每股H股46.00港元(即本招股章程所載發售價範圍的中位數)，集團估計集團將自全球發售收取所得款項淨額約5.788億港元(假設超額配售權未獲行使)。集團擬將全球發售所得款項淨額約45%於未來三年內用於完善集團的水果供應鏈；約22%將於未來三年內用於水果品牌打造及產品推廣；約16%將於未來三年內用於數字化系統升級及全球水果產業互聯網平台開發；約7%將於未來三年內用於償還銀行貸款；及約10%將用於補充流動資金需求及其他一般企業用途。
