捷強裝備(300875.SZ)：控股子公司擬取得上海怡星51%的股權
格隆匯8月15日丨捷強裝備(300875.SZ)公佈，公司控股子公司上海仁機儀器儀表有限公司(“上海仁機”)於2022年8月12日與郭俊鵬、福州福光水務科技有限公司(“福光水務”)、上海拓遼企業管理服務中心(有限合夥)(“上海拓遼”)、上海拓滬貿易中心(有限合夥)(“上海拓滬”)、福州台江區怡碩投資合夥企業(有限合夥)(“怡碩合夥”)、上海怡星機電設備有限公司(“上海怡星”或“標的公司”)簽訂《股權轉讓及增資協議》，以自有資金受讓郭俊鵬、福光水務、上海拓遼、上海拓滬和怡碩合夥分別持有的上海怡星5.24%、18.60%、1.01%、4.90%、9.44%的股權，受讓股權合計39.19%(對應認繳出資額560.5萬元)(“標的股權”)，標的股權的轉讓價款共計2451.75萬元(含税)。
在上述標的股權轉讓的同時，由上海仁機對標的公司進行增資，增資價款共計人民幣1545.41萬元，其中人民幣344.50萬元計入標的公司註冊資本，使標的公司的註冊資本由1430萬元增加至1774.5萬元，剩餘部分計入資本公積，最終使得上海仁機持有標的公司51%的股權。
此次交易全部完成後，上海仁機持有標的公司51%的股權，上海怡星將成為上海仁機的控股子公司，並納入上海仁機合併報表範圍。
