中國中免(01880.HK)預計8月25日掛牌上市 引入混合所有制改革基金等多家基石
格隆匯8月15日丨中國中免(01880.HK)發佈公吿，公司擬全球發售約1.028億股股份，其中香港發售股份513.82萬股，國際發售股份9762.37萬股，另有15%超額配股權；2022年8月15日至8月18日招股，預期定價日為8月18日；發售價將為每股發售股份143.50-165.50港元，每手買賣單位100股，入場費約16717港元；中金公司及瑞銀為聯席保薦人；預期股份將於2022年8月25日於聯交所主板掛牌上市。
成立於1984年，經過近40年的發展，集團已經發展成為全球最大的旅遊零售運營商，專注為境內外旅客和中高端客户銷售優質的免税和有税商品，形成全方位的購物體驗。根據弗若斯特沙利文的資料，按照銷售收入計算，集團的全球排名在過去10年不斷提升，從2010年排名的第19名提升到2015年第12名、並於2019年進一步升至第四，及於2020年及2021年位列全球第一。2021年，集團佔全球旅遊零售行業市場份額的24.6%。集團以免税為核心，發展中國的旅遊零售業務，並致力擴大全球佈局。
集團是中國唯一一家覆蓋全免税銷售渠道的零售運營商，涵蓋口岸店、離島店、市內店、郵輪店、機上店和外輪供應店。集團擁有全國最多的免税店。集團顯赫的市場地位很大程度上依賴中國免税行業的歷史及監管格局。截至2021年12月31日，集團是中國持有免税經營牌照的九組實體集團之一、持有免税經營牌照在全國經營免税口岸店的五組實體集團之一，併為持有經營牌照在中國經營所有種類免税店的唯一集團。截至最後實際可行日期，集團經營193間店鋪，包括在中國28個省、直轄市和自治區的100個城市經營的184間店鋪，以及9家境外免税店，包括7家在中國香港、中國澳門和柬埔寨經營及2家郵輪免税店。根據弗若斯特沙利文的資料，從2019年到2021年，僅是集團開設店鋪的機場就為超過22億人次的旅客提供了服務。
集團已訂立基石投資協議，基石投資者已同意，待若干條件達成後，按發售價認購合共約62.38億港元可購買的發售股份數目。基石投資者包括AMOREPACIFIC集團、中國國有企業混合所有制改革基金有限公司(“混合所有制改革基金”)、中國國有企業結構調整基金股份有限公司(“中國企業結構調整基金”)、中遠海運(香港)有限公司、海南自由貿易港建設投資基金有限公司、瀘州老窖(000568.SZ)、Oaktree基金、融實國際控股有限公司、及上海機場投資有限公司。
假設發售價為154.50港元(即發售價範圍的中位數)，集團將從全球發售收取的所得款項淨額將為約155.38億港元。集團現時擬將全球發售的所得款項淨額約48.8%用於鞏固國內渠道；約22.5%將用於拓展海外渠道；約13.5%將用於改善供應鏈效率；約1.5%將用於升級信息技術系統；約3.7%將用於市場推廣和進一步完善會員體系；及約10.0%將用作補充流動資金及其他一般公司用途，包括但不限於通過對中免國際有限公司增資進行。假設發售價為每股H股154.50港元，倘超額配股權獲悉數行使，全球發售所得款項淨額將增加至約178.836億港元。
