香港資源控股(02882.HK)擬1558.7萬港元收購天津智耘貳零科技49%股權
格隆匯8月11日丨香港資源控股(02882.HK)公吿，於2022年8月11日，公司、買方超萃環球有限公司(公司的間接全資附屬公司)與該等賣方朱梅芝及王計峯訂立買賣協議，據此，買方已有條件同意購買，而該等賣方已有條件同意出售(i)待售股份，相當於目標公司(元宇有限公司及創先數字科技有限公司)全部已發行股本；及(ii)待售貸款，代價為1558.7萬港元，將按發行價配發及發行代價股份的方式繳付。
代價股份包括53,934,320股新股份，佔公司於公佈日期全部已發行股本的約20%；發行價為每股代價股約0.289港元，較最後交易日於聯交所所報收市價每股0.275港元溢價約5.09%；
於公佈日期，目標公司A持有天津智耘40%的註冊資本，而目標公司B則持有天津智耘9%的註冊資本，餘下51%的天津智耘註冊資本已由集團擁有。完成後，各目標公司及天津智耘集團各成員公司將成為公司的全資附屬公司。
天津智耘主要從事提供移動媒體營銷服務。天津智耘是公司的間接非全資附屬公司並由北京智耘貳零科技有限公司、目標公司A及目標公司B分別擁有51%、40%及9%的權益。完成後，天津智耘將由公司全資擁有。天津智耘(北京)是一間於中國成立的有限責任公司，主要從事提供移動媒體營銷服務。其為天津智耘的全資附屬公司。
鋻於天津智耘集團於過去6個月的財務表現及中國數碼營銷行業的增長潛力，董事會認為儘早收購天津智耘集團的全部股權符合集團的利益。董事會進一步計及買賣協議的條款，特別是，雖然代價約為1560萬港元，但該等賣方已提供相當於兩個財政年度總額為20百萬港元的溢利保證。
因此，董事會認為，集團在收購事項及進入新的移動媒體營銷服務行業的成本及潛在風險已大大降低，而以發行代價股份的形式支付代價亦將使收購事項對集團的現金流影響降至最低。
