中集集團(000039.SZ)：擬與萬和弘遠合作設立“中集弘遠先進製造產業基金”
格隆匯8月10日丨中集集團(000039.SZ)公佈，2022年8月10日，集團之間接控股子公司中集資本管理有限公司(“中集資本管理”)，與專業投資機構萬和弘遠投資有限公司(“萬和弘遠”)簽署《關於中集弘遠先進製造產業基金合作框架協議》，就有關基金髮起與設立事項達成一致意見並作出約定，擬將合作設立“中集弘遠先進製造產業基金”(暫定名，最終名稱以工商登記機構核定為準，“基金”)。基金總規模為人民幣10億元，分兩期募集：第一期基金規模為人民幣1億元，其中中集出資主體出資人民幣3000萬元，佔比30%；第二期基金規模為人民幣9億元，其中中集出資主體出資人民幣2.7億元，佔比30%。
2022年8月10日，中集資本管理、公司全資子公司中集資本控股有限公司(“中集資本控股”，系中集資本管理的控股股東)、萬和弘遠、深圳市資本運營集團有限公司(“深圳資本集團”)及長沙潛之龍微電子有限公司(“潛之龍”)簽署《中集弘遠先進製造產業投資合夥企業(有限合夥)之合夥協議》(“第一期《合夥協議》”，相關基金簡稱“第一期基金”)。
基金應當以先進製造產業的優質標的企業作為主要投資方向，包括但不限於先進製造、半導體、物聯網、新材料等行業。基金的投資策略應將使基金出資人獲得優質的投資回報作為主要目的，同時兼顧中集資本管理及萬和弘遠之雙方股東的戰略發展方向。
鑑於國家制造業升級的有利產業政策及廣闊市場前景，同時為配合集團製造業升級及產業發展戰略，公司子公司與專業機構合作設立基金，充分利用專業機構的投資能力和資源，對具有良好發展前景和退出渠道的先進製造產業的優質企業進行股權投資，獲取良好的投資回報，尋找集團新的利潤增長點。
此次合作設立基金充分發揮資本運營平台功能，有利於進一步深化深圳資本集團和集團的合作，成為全面深入合作的資本紐帶。此次合作設立基金的投資方向符合集團的戰略發展方向，有利於集團保持產品領先、強化科技創新，併為推進智能製造提供資金支持。此次合作設立基金，可有效進行產業賦能，分享上下游企業成長的紅利，為集團探索新的業務增長點，促進集團產業升級，創造長期價值。
