協鑫科技(03800.HK)擬斥4億元收購及認購合肥協鑫集成新能源共約14.03%股權 以加強公司光伏一體化能力
格隆匯8月8日丨協鑫科技(03800.HK)公吿，於2022年8月8日，公司全資附屬公司協鑫科技(蘇州)與目標公司、協鑫集成及協鑫集成(蘇州)訂立投資協議。根據投資協議，協鑫科技(蘇州)同意(i)以代價人民幣2億元向協鑫集成(蘇州)收購目標公司合肥協鑫集成新能源科技有限公司於重組合並後的註冊資本總額8%的股權(即目標公司註冊資本人民幣15,432萬元)及(ii)以代價人民幣2億元認購目標公司註冊資本人民幣15,432萬元。
於2022年8月8日，協鑫科技(蘇州）亦與目標公司、協鑫集成及協鑫集成(蘇州)訂立股東協議，藉以訂明各方與目標公司有關的權利及責任。
據協鑫集成吿知，於2022年8月8日，南通中金(為公司的獨立第三方)與目標公司、協鑫集成及協鑫集成(蘇州)訂立初步融資交易協議，以代價人民幣15,000萬元認購目標公司的註冊資本人民幣11,574萬元。於重組合並及初步A輪交易完成後，估計公司將透過協鑫科技(蘇州)持有目標公司的註冊資本人民幣30,864萬元，相當於目標公司根據重組合並及初步A輪交易增資擴大股權後的約14.03%。公司將於集團的財務報表內將該等交易視作股權投資入賬。
目標公司為一間於中國成立的有限公司，併為協鑫集成(蘇州)的全資附屬公司。目標公司的主要業務為太陽能發電技術服務，光伏設備及元器件製造等服務。
句容協鑫集成為一家於中國成立的有限公司。於本公吿日期，句容協鑫集成由協鑫集成擁有。重組合並完成後，句容協鑫集成將由目標公司全資擁有。句容協鑫集成的主要業務為研發、生產及銷售光伏組件產品，以及提供新能源技術服務。
樂山協鑫集成為一家於中國成立的有限公司。於本公吿日期，樂山協鑫集成由協鑫集成(蘇州)擁有，而協鑫集成(蘇州)由協鑫集成全資擁有。於重組合並完成後，樂山協鑫集成將由目標公司全資擁有。樂山協鑫集成的主要業務為生產及銷售光伏電池產品，以及提供新能源技術服務。
公司表示，目前全球主要下游廠商均進入硅烷流化牀法顆粒硅商業化應用階段，加上光伏市場從p型向n型技術迭代，集團需要具備顆粒硅產業鏈全面的協同體系，從而全面有效掌握產業鏈技術發展和市場趨勢最新變化，形成對顆粒硅主業最直接、高效反饋。目標公司作為按照行業最高標準打造的智能一體化組件生產基地，將與集團在新能源技術服務方面產生協同效應，有助集團進一步加強顆粒硅製造及銷售的能力，加速硅烷流化牀法顆粒硅產品與CCZ技術向下遊產業應用的步伐，加速顆粒硅產品終端驗證，引領光伏行業邁進高效的低價低碳時代。
同時，集團預期目標公司將進一步發展及提升其組件及電池業務，成為一家專注於研發、製造及銷售組件及電池的頂級下游光伏製造商，在多晶硅供給逐漸充沛的背景下，在未來市場競爭中可充分享受產業鏈紅利，盈利能力將得到極大改善，為集團取得良好的投資收益。
