信達生物(01801.HK)與賽諾菲達成多項目戰略合作及許可協議
格隆匯8月4日丨信達生物(01801.HK)宣佈，於2022年8月4日，集團與賽諾菲集團達成多項目戰略合作及許可協議，以合作開展兩款高潛力抗腫瘤藥物SAR408701(Tusamitamab Ravtansine；抗CEACAM5抗體－藥物偶聯物(ADC))及SAR444245(非α偏向性IL-2)在中國的臨牀開發及商業化，包括探索聯合公司PD-1抑制劑達伯舒®(信迪利單抗注射液)的一系列臨牀研究，旨在加速創新療法的開發及市場準入，惠及中國癌症患者。
除多項目戰略合作及許可協議外，認購方(賽諾菲全資附屬公司)已同意通過認購股份投資公司，而公司亦同意向認購方配發及發行認購股份。
第一批次項下的股份將以每股認購股份42.42港元的價格配發及發行予認購方，現金總額為3億歐元的等值港元(即24.1668億港元)，每股價格乃按緊接股份發行協議日期前30個交易日股份的平均收市價溢價20%釐定。
未來若公司與認購方達成獨立書面股份認購協議並在其條款規限下，認購方可再就第二批次項下的股份額外投資3億歐元，每股價格將按緊接第二批次相關股份發行協議日期前30個交易日股份的平均收市價溢價20%釐定，且該價格不得較基準價折讓20%或以上。
董事認為，集團與賽諾菲於多項目戰略合作及許可協議項下擬進行的戰略合作將為集團帶來長期利益和較高的研發資本效益。董事相信，與賽諾菲的戰略合作乃對公司作為擁有獨特的研發及商業化綜合平台能力的中國領先生物製藥公司的核心競爭力的認可，並將鞏固公司在中國市場的領先地位。該合作將致力於開發及商業化兩款具有高潛力的腫瘤管線，即SAR408701(Tusamitamab Ravtansine；抗CEACAM5抗體－藥物偶聯物)及SAR444245(非α偏向性IL-2)，探索與公司產品的聯合研究，充分發揮公司的開發及商業化能力。
