阿爾法企業(00948.HK)與Bubs Australia成立一間合營企業
格隆匯8月2日丨阿爾法企業(00948.HK)發佈公吿，香港愛麗絲貿易有限公司(公司的全資附屬公司)與Bubs Australia Limited成立一間合營企業，即Bubs Supreme PartnerPty Ltd，該公司由愛麗絲貿易擁有49%及由Bubs Australia擁有51%，並作為Bubs IP PtyLtd(Bubs Australia的附屬公司)所擁有Bubs Supreme名下若干商標(Bubs商標)的獨家被許可人而經營。
於2022年8月2日，合營公司與Bubs IP訂立商標許可契據，並獲Bubs IP授權於中國、香港、澳門及台灣使用Bubs商標的獨家、免專利權費及可轉授許可，以供用於廣吿、營銷及分銷Bubs Australia或其聯屬公司所生產及供應的嬰幼兒營養產品(Bubs產品)。許可屬永久許可，除非根據商標許可契據的條款提前終止，且在未經Bubs IP的同意下可由合營公司轉授予(i)愛麗絲貿易；或(ii) Bubs IP，並可不經合營公司同意由Bubs IP進一步轉授予Bubs Australia及其附屬公司。
於Bubs IP向合營公司授予Bubs商標的許可權後，於2022年8月2日，合營公司將Bubs商標的使用許可相應轉授予愛麗絲貿易，於獲准屬地內按非獨家、免專利權費及永久基準用於廣吿、營銷及分銷Bubs產品。
由於集團主要從事包括Bubs在內等多個奶粉品牌的奶粉及嬰兒食品貿易，且為Bubs Australia的主要客户之一，董事認為，Bubs商標的許可權賦予合營公司及集團永久使用Bubs商標的權利且毋須支付專利權費，並有利於在獲准屬地推廣Bubs產品，從而可能提升集團的銷售表現，並對集團的財務業績有正面貢獻。Bubs IP成立合營企業及授予合營公司使用Bubs商標的許可，進一步加強集團與Bubs Australia之間的業務合作。倘Bubs產品的品牌名稱越來越受好評，則合營公司作為Bubs商標於獲准屬地的獨家被許可人的價值可能會提高，而集團擁有其中49%股權。
