綠康生化(002868.SZ)：擬出售浦潭熱能100%股權、股東擬進行股份轉讓
格隆匯7月31日丨綠康生化(002868.SZ)公佈，2022年7月31日，公司、合力(亞洲)投資有限公司(“合力亞洲”)、富傑(平潭)投資有限公司(“富傑平潭”)、北京康閩諮詢管理中心(有限合夥)(“北京康閩”)與杭州義睿投資合夥企業(有限合夥)(“義睿投資”)、上饒市長鑫貳號企業管理中心(有限合夥)(“長鑫貳號”)、杭州慈蔭投資合夥企業(有限合夥)(“慈蔭投資”)、肖菡簽署《關於股份轉讓及資產置出的合作框架協議》，約定合力亞洲、富傑平潭、北京康閩擬通過協議轉讓的方式向義睿投資、長鑫貳號、慈蔭投資、肖菡轉讓公司合計36.73%的股份(“股份轉讓”)，同時，公司擬將福建浦潭熱能有限公司(“浦潭熱能”)100%股權(“置出標的資產”，公司將現有熱電聯產業務相關資產及負債按基準日2022年04月30日的賬面淨值向該新設子公司進行劃轉)出售給合力亞洲、富傑平潭、北京康閩或其指定主體(“資產出售”)，其中，合力亞洲或其指定主體受讓浦潭熱能70%股權、富傑平潭或其指定主體受讓浦潭熱能18%股權、北京康閩或其指定主體受讓浦潭熱能12%股權。前述資產出售和股份轉讓互為前提，任何一項無法付諸實施，則其他項不予實施。
2018年，為了提高整個園區供熱效率、節能減排以及從經濟效益出發，公司所在園區浦城工業園區浦潭產業園片區按照“熱電聯產，以熱定電”的原則，新建熱電聯產機組作為集中供熱熱源點，並委託公司建設。項目於2022年建設完成，進入試運行狀態。但由於熱電聯產項目回報週期長、投資規模大，其產業特點和業務性質與公司的生物發酵業務存在較大的差異，運營該項目預期在未來一段時間內會讓上市公司的經營管理及業績承壓。
為提升公司未來盈利能力，公司擬收購一家光伏膠膜企業，切入光伏領域發展。為完成資產收購及未來業務的開展籌集資金、優化公司業務結構，公司擬將熱電聯產業務的運營主體、全資子公司浦潭熱能出售給公司股東合力亞洲、富傑平潭、北京康閩或其指定主體。為籌集承接本次置出資產的對價、同時引入產業投資人為上市公司新業務的發展提供支持，公司股東合力亞洲、富傑平潭及北京康閩擬通過協議轉讓方式向義睿投資、長鑫貳號、慈蔭投資、肖菡轉讓公司合計36.73%的股份。
通過此次資產出售和股份轉讓，公司在提升自身經營效率的同時，引入看好公司發展前景、並具有豐富產業資源的產業投資人，改善公司股權結構，優化管理，提升可持續發展能力，共同為股東創造價值。
