力高集團(01622.HK)擬成立合資公司 佈局新能源、新材料等產業
格隆匯7月29日丨力高集團(01622.HK)公吿，公司欣然宣佈，其與中國能源建設集團南方建設投資有限公司、深圳市招商國協貳號股權投資基金管理有限公司、江蘇凱倫建材股份有限公司、深圳高合鵬潤投資合夥企業(有限合夥)、深圳前海富信通資本管理有限公司及某農業相關板塊上市公司(各為("合資合作方")就成立合營公司於2022年7月18日簽訂戰略合作框架協議及備忘錄。
待訂立有效的協議後，各合資合作方與公司同意共同設立合資公司。其註冊資本擬定人民幣30億元。其中，公司在引入適當投資及專項融資後擬認繳出資額人民幣12億元，佔註冊資本的40%；深圳市招商國協貳號管理的基金或關聯主體擬認繳出資額人民幣3億元，佔註冊資本的10%；江蘇凱倫建材擬認繳出資額人民幣3億元，佔註冊資本的10%；中國能源建設南方建設指定的基金或關聯主體擬認繳出資額人民幣6億元，佔註冊資本的20%；深圳前海富信通擬認繳出資額人民幣3億元，佔註冊資本的10%；深圳高合鵬潤擬認繳出資額人民幣1.5億元，佔註冊資本的5%；及某農業相關板塊上市公司指定的基金或關聯主體擬認繳出資額人民幣1.5億元，佔註冊資本的5%。
各合資合作方與公司同意，合資公司的業務發展方向為發展全域低碳產業，聚焦新能源、新材料等產業，包括但不限於光伏電池、碳交易、草醯胺板塊。
合資公司擬命名為"全域低碳(深圳)科技有限公司"，註冊地擬定在深圳市龍崗區國際低碳城，其中一合資合作方與龍崗區人民政府就合資公司落地及相關產業支持已達成初步合意。
本次與各合資合作方的合作，是公司整體、全面性地計劃逐步轉型成為聚焦雙碳產業的綜合性集團企業的重要佈局，公司將積極響應國家綠色低碳發展戰略，大力發展全域低碳產業，聚焦新能源、新材料等產業，實現集團的多產業佈局，實現產業價值鏈的延伸，孵化全產業鏈循環。
公司認為，訂立戰略合作框架協議體現了集團與各合資合作方長期戰略發展思路上的高度契合，在友好合作的基礎上，充分發揮協議各方的互補優勢，加快推進集團推動新產業的步伐，加強戰略協同發展，實現各方互利共贏，促進各方在創新發展中做強做優，快速實現全國重點城市片區佈局和業務擴展，共同提升各方經營效率和產生社會效益。
