民生教育(01569.HK)擬收購上海中智51%股權並與中智科技訂立戰略合作協議
格隆匯7月28日丨民生教育(01569.HK)宣佈，於2022年7月28日，經上海聯合產權交易所公開掛牌轉讓，北京奧鵬遠程教育中心有限公司("奧鵬教育")(為公司的全資子公司)與中智科技集團有限公司("中智科技")就奧鵬教育收購中智科技持有的上海中智國際商務發展有限公司("上海中智")51%股權簽訂協議，交易價款為人民幣875萬元。
於同日，公司與中智科技訂立戰略合作協議。
為響應國家戰略，推動新一代信息技術在行業企業與高校人才培養、教育教學的深度融合，為人才培育提供產教融合、校企合作的載體及"互聯網+"一體化教育服務支持，促進相關學科專業集羣的整體升級與創新發展，公司與中智科技經友好協商，決定發揮雙方各自優勢，在職業教育、產教融合、公共實訓、人才培訓等方面進行戰略合作，努力培養高素質行業技術技能人才、能工巧匠、大國工匠，為黨育人，為國育才。雙方將從以下五個方面進行合作：
1.加強戰略層面資本合作
按照雙方的戰略規劃，加強頂層設計層面的深度合作及戰略層面的資本合作。按照國家發改委、國資委關於國有企業混改的相關工作部署，發揮國有資本與民營資本充分融合的優勢，構建符合雙方戰略發展的產業生態圈。
2.打造教育產業控股平台
結合雙方資源優勢，探索合資合作等多種形式，整合優質教育(職業教育)資源，共同打造教育(職業教育)產業投控平台。
3.推動現代產業學院建設
根據國家相關行業發展及雙方在部分領域上擁有的產業資源優勢，共同打造涉及關鍵核心技術類、民生類現代產業學院，開展共建專業羣、共建專業和定製班等校企合作項目。在國家政策指導下，利用產業學院平台優勢，提供社會化學歷提升、實習實訓服務，實現實習全週期學生管理和企業用工需求對接及人才交付的流程化、智能化、精細化、數據化的服務。
4.共建線上產業人才學習平台
充分發揮中智科技線上學習平台在企業端的服務優勢和業務優勢，結合本集團線上學習平台在教育端的專業優勢和師資優勢，以線上平台為人才賦能、產教融合的載體，共同建立具有行業特色的線上產業人才學習平台，打造"平台互通、數據共享、師資共享"的優質線上培訓品牌。
5.開展國際化人才就業服務
以集團參與上海中智混改項目為契機，依託中智科技在人才服務等方面的優勢及集團在信息化建設和教育服務等方面的優勢，雙方在留學、移民、海外人才迴歸就業服務等方面探索建立深度合作機制與模式。
董事會認為收購事項及訂立戰略合作協議將有助於公司：(i)進一步深化"互聯網+職業教育"發展戰略，發揮國有資本與民營資本充分融合的優勢，結合雙方優質資源，進一步促進上海中智業務發展；(ii)進一步鞏固集團在國際教育方面的資源、品牌優勢，有效拓展國際教育合作渠道網絡，為集團服務人才"走出去"和"引進來"的戰略實施奠定良好基礎；及(iii)集團成功與華僑城集團、中智集團等國資委直接管理的大型中央企業開展戰略投資合作，有助於集團加強與國有資本層面的合作，整合教育資源對接產業需求，深化產教融合與校企合作，服務產業數字化發展需要，探索及開展與國際人才市場對接，培育產業新業態和新動能。
