中石化油服(01033.HK)擬共同出資設立碳科公司
格隆匯7月28日丨中石化油服(01033.HK)發佈公吿,2022年7月28日,公司全資附屬公司石工建與中國石化股份公司、南化公司、聯合石化、南京工程及上海工程簽署了《發起人協議》及《碳科公司章程》。根據《發起人協議》,各方以發起設立方式共同出資設立碳科公司。
碳科公司註冊資本為人民幣25億元,其中:中國石化股份公司及南化公司分別以現金認繳出資人民幣11.5億元及人民幣8.5億元,分別佔碳科公司註冊資本的46%及34%;石工建、聯合石化、南京工程及上海工程分別以現金認繳出資人民幣1.25億元,各佔碳科公司註冊資本的5%。石工建將以自有資金支付本次交易的對價。本次交易完成後,碳科公司將不會成為公司的附屬公司。
