華伍股份(300095.SZ)：未收到仇映輝、王雅傑1.73億元業績承諾補償款
格隆匯7月21日丨華伍股份(300095.SZ)公吿稱，2018年8月31日，公司與長沙市天映機械製造有限公司(更名後為“長沙天映航空裝備有限公司”，簡稱“長沙天映”)及其原股東仇映輝、何不知、王雅傑簽訂《關於長沙市天映機械製造有限公司之投資協議》，《投資協議》約定：公司以9200萬元收購原股東何不知持有長沙天映的44.94%股權，同時，公司以2530萬元對長沙天映進行增資。該項增資完成後，公司持有長沙天映51%股權。
2018年9月28日，公司與長沙天映及其原股東簽訂《投資協議之補充協議》，進一步約定了業績承諾期內長沙天映經營性淨現金流的要求。根據公司與交易對方訂籤的《投資協議》及《補充協議》，長沙天映2019年、2020年、2021年(簡稱“業績承諾期間”)經營目標為：經審計的税後淨利潤(簡稱“承諾淨利潤”)分別不低於2000萬元、3000萬元、4000萬元。
原股東仇映輝、王雅傑承諾，業績承諾期間，承諾淨利潤合計不少於9000萬元；原股東仇映輝、王雅傑承諾長沙天映2019年、2020年、2021年經審計累計實現的經營性淨現金流不低於承諾總淨利潤的40%，即不低於3600萬元。
2022年6月29日，公司向仇映輝、王雅傑發送了《關於要求支付補償款的通知》，要求仇映輝、王雅傑根據《投資協議》及《補充協議》的約定，於2022年7月21日之前進行現金補償，現金補償金額約為1.73億元。2022年7月2日，公司收到仇映輝、王雅傑的回函。截至目前，公司未收到仇映輝、王雅傑的現金補償款。
經過多次溝通，仇映輝、王雅傑提議由其尋找第三方投資機構按照不低於公司的投資本金加一定收益的方式收購公司持有的長沙天映全部股權，以徹底解決該次交易業績承諾未完成的相關問題，具體方案各方正在積極溝通確認中，最終方案尚存在不確定性，公司將積極協商具體方案及落地措施並按規定履行相應決策程序。
