秦港股份(03369.HK)：控股股東河北港口集團接受國有股權無償劃轉
格隆匯7月20日丨秦港股份(03369.HK)披露關於控股股東接受國有股權無償劃轉事項的進展公吿。截至公吿發布日，重大事項的進展情況如下：
1.2022年7月19日，唐山市人民政府國有資產監督管理委員會("唐山市國資委")與河北港口集團簽署了《唐山港口實業集團有限公司全部國有股權無償劃轉協議》，約定唐山市國資委將其持有的唐港實業100%的股權無償劃轉至河北港口集團持有。
上述無償劃轉完成後，公司控股股東河北港口集團將通過持有唐港實業100%股權而間接持有唐山港集團股份有限公司(以下簡稱"唐山港"，股票代碼：601000)2,659,608,735股股份，佔唐山港總股本的44.88%。同時因河北港口集團的全資子公司河北港口集團(天津)投資管理有限公司持有唐山港107,462,089股股份，佔唐山港總股本的1.81%，因此河北港口集團將合計間接持有唐山港2,767,070,824股股份，佔唐山港總股本的46.69%，成為唐山港的間接控股股東。
2.2022年7月19日，曹妃甸國控投資集團有限公司(以下簡稱"曹國控集團")與河北港口集團簽署了《曹妃甸港集團有限公司全部國有股權無償劃轉協議》，約定曹國控集團將其持有的曹妃甸港集團有限公司100%的股權無償劃轉至河北港口集團持有。上述無償劃轉完成後，公司控股股東河北港口集團將持有曹妃甸港集團有限公司100%的股權。
3.2022年7月19日，唐山建設投資有限責任公司(以下簡稱"唐山建投")與河北港口集團簽署了《國投曹妃甸港口有限公司4%國有股權及華能曹妃甸港口有限公司5%國有股權無償劃轉協議》，約定唐山建投將其持有的國投曹妃甸港口有限公司4%的股權、華能曹妃甸港口有限公司5%的股權無償劃轉至河北港口集團持有。
上述無償劃轉完成後，公司控股股東河北港口集團將持有國投曹妃甸港口有限公司4%的股權以及華能曹妃甸港口有限公司5%的股權。
