水羊股份(300740.SZ)：擬以4950萬歐元取得化粧品公司EviDenS de Beauté SAS 90.05%的股權
格隆匯7月17日丨水羊股份(300740.SZ)公佈，公司全資子公司HONG KONG YU JIA INTERNATIONAL TECHNOLOGYCOMPANY LIMITED、JYJH LIMITED (HONG KONG YU JIA INTERNATIONALTECHNOLOGY COMPANY LIMITED與JYJH LIMITED 合併稱為“投資方”)於近日與Kazokou SAS及Orsay 53 SAS等主體簽署了《SHARE PURCHASE AGREEMENT》，擬以4450萬歐元購買Kazokou SAS及Orsay 53 SAS合計持有的EviDenS de Beauté SAS (“標的公司”)90.05%的股權，並以500萬歐元平價購買原股東持有的標的公司年初已宣派但未支付的股利形成的債權，此次交易金額合計4950萬歐元(以2022年7月15日中國人民銀行公佈的人民幣匯率中間價折算，約摺合人民幣約33473.39萬元)。此次交易完成後，標的公司將納入公司合併報表範圍。此次交易事項已經公司於2022年7月15日召開的第二屆董事會2022年第二次臨時會議審議通過。
標的公司旗下擁有化粧品品牌EviDenS de Beauté，品牌創立於2007年，是結合了日法美膚工藝的高端護膚品牌，是專為敏感肌研發的抗衰品牌，產品涵蓋卸粧、潔面、面霜、精華、面膜等日常全品類護膚產品；EviDenS de Beauté已在全球多個國家或地區進行業務佈局，銷售區域包括美國、法國、英國、日本、韓國、泰國等超過30個合作國家或地區，且已入駐全球巴黎老佛爺百貨、瑰麗酒店以及Tsum(莫斯科中央百貨)、King Power(泰國皇權)、Harrods(英國哈洛德百貨)、中國SKP眾多頂級市場，全球終端零售額超過5億人民幣。
公司堅持以自主品牌為核心，自主品牌與代理品牌雙業務驅動的戰略。對於代理品牌業務，公司為進入中國市場的海外美粧品牌提供資本、品牌、產品等多維度的賦能，並在市場、銷售、渠道等維度提供一攬子解決方案，助力海外美粧品牌觸達中國核心消費者。2019年，化粧品品牌EviDenS de Beauté正式登陸中國市場，公司成為其在中國獨家合作伙伴，雙方合作以來，EviDenS de Beauté在中國美粧市場打開了知名度，在消費者當中積累了較高的美譽度，品牌營收規模實現了較大增長。
此次收購完成後，標的公司EviDenS de Beauté SAS將納入公司合併報表範圍。標的公司創始人仍持有少數股份，並計劃繼續擔任標的公司的法定代表人，標的公司原團隊繼續保留，收購後標的公司將持續保持獨立經營。本次交易符合公司的整體戰略，對於豐富公司品牌矩陣及產品體系有較大意義。
