華業香料(300886.SZ)：擬收購科宏生物100%股份、7月18日起復牌
格隆匯7月15日丨華業香料(300886.SZ)公佈，公司擬通過發行股份及支付現金的方式購買程存照、賈衞民、歙縣國信資產經營管理有限公司、安徽安元投資基金有限公司、李玉潔、王之建、方曄、歙縣新創股權投資有限公司、深圳粵之商投資合夥企業(有限合夥)、汪延齡、姚峯、顧國囡、張程勇、程存民、羅建蘭持有的科宏生物100%股份，此次交易完成後，標的公司將成為公司全資子公司。
另外，公司擬向不超過35名符合條件的特定對象發行股份的方式募集配套資金，此次募集配套資金總額不超過擬發行股份購買資產交易價格的100%，且發行股份數量不超過此次發行前上市公司總股本的30%。此次募集配套資金擬用於支付此次交易的現金對價、中介機構費用、交易税費等併購整合費用、補充公司和標的公司流動資金、償還債務以及標的公司的項目建設等，募集配套資金具體用途及金額將在重組報吿書中予以披露。其中，用於補充上市公司和標的公司流動資金、償還債務的比例不超過擬購買資產交易價格的25%或不超過募集配套資金總額的50%。
標的公司科宏生物自成立以來，一直致力於天然香料的研發、生產和銷售，秉承着“綠色發展、可持續發展”戰略，通過與中國科學院、浙江大學合作，逐步由原來傳統的化學合成技術向現代生物發酵技術轉型，從而滿足人們對食品、藥品、化粧品等行業“天然、安全”的消費要求。科宏生物作為國家高新技術企業，經過十餘年發展，已建立了一支專業成熟的技術研發團隊，其通過合成生物學技術生產的產品具有巨大市場前景。同時，標的公司還相繼承擔了各級政府20餘項科研項目，取得國家發明專利10項，獲得12項科技進步獎，參與起草制定了國家標準7項、行業標準1項。科宏生物先後榮獲國家知識產權優勢企業、安徽省創新型企業、安徽省“專精特新”中小企業、中國化工行業技術創新示範企業等榮譽稱號。此外，標的公司還通過了ISO14001環境管理體系認證、ISO9001質量管理體系、ISO45001職業健康安全管理體系認證、SC食品安全生產許可證、BRC食品安全全球標準認證和猶太潔食KOSHER認證，並獲得美國FDA年度註冊證書。
此次交易完成後，將大大增強上市公司在生物技術香料領域競爭力，實現生產技術和產品結構的優化升級。生物技術香料行業發展前景良好、極具市場潛力，公司的盈利能力及發展空間將得到有效提升，為實現長遠可持續發展奠定堅實基礎，為未來進一步做大做強創造良好條件。
公司將於2022年7月18日開市起復牌。
