冠城大通(600067.SH)：2022年第二次債券持有人會議審議通過關於調整“20冠城01”本息兑付安排的共5個相關議案
格隆匯7月7日丨冠城大通(600067.SH)公佈，公司於2020年7月發行“冠城大通股份有限公司2020年面向合格投資者公開發行公司債券(第一期)”(“20冠城01”或“本期債券”)，發行總額為人民幣17.30億元，債券期限為2年期，回售債券兑付日為2022年7月7日，到期日為2022年7月14日。
鑑於兑付工作進展、公司經營現狀，為保障全體債權人利益，公司於2022年7月6日至2022年7月7日以通訊投票表決方式召開“20冠城01”2022年第二次債券持有人會議，本次會議審議的關於調整本期債券本息兑付安排的共5個相關議案已獲得通過，具體情況詳見2022年7月7日刊登在上海證券交易所網站的《關於召開冠城大通股份有限公司公司債券2022年第二次債券持有人會議結果的公吿》。
根據債券持有人會議結果，本期債券本息兑付按照如下方式調整：
1、“20冠城01”債券全部債券持有人的本金及利息兑付日調整為2022年7月14日，每張債券兑付本金為100元，派發利息為7元(含税)。
2、如公司與相關金融機構就“20冠城01”債券合作協議在7月14日之前簽署完畢，但由於劃款流程等問題導致公司未能在2022年7月14日支付“20冠城01”本金及利息，則“20冠城01”債券全部債券持有人的本金兑付日調整為2022年7月31日之前，具體兑付日以公司公吿為準。公司於2022年7月14日將當期利息劃付至本期債券登記託管機構指定的銀行賬户。兑付日調整期間本期債券原有票面利率不變，兑付日調整期間的利息隨本金償付時一同支付。
3、如公司與相關金融機構就“20冠城01”債券合作協議未能在7月14日之前簽署完畢或公司未能在2022年7月31日前支付“20冠城01”本金及利息，則“20冠城01”債券全部債券持有人的本金兑付時間調整為2022年9月30日前，具體兑付日以公司公吿為準。公司於2022年7月14日將當期利息劃付至本期債券登記託管機構指定的銀行賬户。兑付日調整期間本期債券新增補償利率4%，即兑付日調整期間本期債券票面利率和補償利率合計11%，兑付日調整期間的新增利息隨本金償付時一同支付。同時，本期債券增加相應的償債增信措施。
公司及實際控制人承諾對本期債券“不逃廢債”，在出現預計不能按期償付本期債券本息或者到期未能按期償付本期債券本息時，將及時制定合理的償債計劃和方案供債券持有人審議，並嚴格落實和執行償債方案。
