明陽智能(601615.SH)：發行GDR的價格預計每份不低於20.22美元
格隆匯7月7日丨明陽智能(601615.SH)公佈，根據此次發行上市的相關安排，公司已於倫敦時間2022年7月7日在倫敦證券交易所網站正式刊發《明陽智慧能源集團股份公司於倫敦證券交易所發行全球存託憑證的意向函》(“上市意向函”)。上市意向函為公司根據英國市場發行慣例而刊發，其目的僅為公司在境外市場公開表明上市發行意向，不構成亦不得被視為是對任何投資者收購、購買或認購公司發行證券的要約或要約邀請。
鑑於此次發行的GDR的認購對象限於合格國際投資者及其他符合相關規定的投資者，上市意向函並非針對A股投資者刊發。該公吿僅為A股投資者及時瞭解此次發行上市相關信息而做出。
此次發行每份GDR代表5股公司基礎證券A股股票，擬募集資金的總額約為5.5億美元(包含UBS AG London Branch作為穩定價格操作人可能通過行使超額配售權要求公司發行的GDR所募集的資金)，通過行使超額配售權而發行的GDR所募集的資金不超過5000萬美元且不超過超額配售權行使前初始發售所募集資金總額的10%(以孰低者為準)。
此次發行的GDR的價格預計每份不低於20.22美元。
此次發行募集資金的使用用途為：大約60%的募集資金淨額將用提升集團風機制造和銷售能力，包括研究、製造和銷售集團風機；大約20%的募集資金淨額將用於促進集團的國際化戰略；大約10%的募集資金淨額將用於提升集團的光伏、儲能和氫能實力；大約10%的募集資金淨額將用於營運資金和一般企業用途。
此次發行上市的GDR將全部基於公司新增A股股票。公司現有股東預計將不會出售任何證券作為此次發行基礎證券的一部分。
此次發行上市的全部細節將在公司於倫敦時間2022年7月8日左右刊發的招股説明書中披露。此次發行GDR的最終數量和價格將通過簿記建檔於倫敦時間2022年7月7日左右確定。
此次發行的GDR預計於倫敦時間2022年7月8日左右開始附條件交易，此次發行的GDR預計於倫敦時間2022年7月13日左右在倫敦證券交易所上市。投資者在決定是否投資此次發行的GDR時，應僅依賴最終版本的招股説明書中披露的信息。
