第一太平(00142.HK)：MPIC擬4.03萬億印尼盾收購JJC的40%間接股本權益
格隆匯7月4日丨第一太平(00142.HK)發佈公吿，2022年6月30日，買方(即MPIC(公司的菲律賓聯號公司)間接控制約89.66%權益的附屬公司)訂立買賣協議，據此，賣方(獨立第三者，即Perusahaan Perseroan (Persero) PT Jasa Marga (Indonesia Highway Corporatama), Tbk.)已同意出售相當於JJC(即PT Jasamarga Jalanlayang Cikampek)的40%股本權益。MPIC(集團間接持有45.1%經濟權益的公司菲律賓聯號公司)透過MPTC(MPIC擁有99.9%權益的附屬公司)於Nusantara及其他控股公司的間接擁有權而控制買方的89.66%權益。
出售股份的作價為4.03萬億印尼盾(相等於約2.696億美元或21億港元)，其中150億印尼盾(相等於約100萬美元或780萬港元)須由買方於籤立買賣協議時以現金支付；7910億印尼盾(相等於約5290萬美元或4.127億港元)須由買方於完成時以現金支付；及3.224萬億印尼盾(相等於約2.157億美元或17億港元)須由買方於完成時以向賣方發行承兑票據的方式支付。完成後，最高達3590億印尼盾(相等於約2400萬美元或1.873億港元)的額外獲利付款須由買方於若干條件達成後支付予賣方。
JJC是雅加達－芝坎佩高架(“Japex”)收費公路的特許權持有人，Japex是全長38公里的全高架收費公路，構成跨爪哇網絡的一部分，貫通雅加達(印尼首都)與印尼的西爪哇、中爪哇及東爪哇各地。Japex自2019年12月12日起通車。Japex和Japex地面公路是雅加達最繁忙的收費公路之一，目前每天平均服務約44萬名駕駛者。
MPIC通過其擁有99.9%權益的附屬公司MPTC從事收費公路業務。該項交易為MPTC在印尼的業務帶來增長機遇，並將與MPTC擴大其在印尼收費公路投資組合的計劃相一致。MPTC預計Japex的交通量將持續增長，監於Japex是爪哇島東部通往雅加達的主要門户，因此是一項極具策略意義的資產。
