格隆匯6月30日丨中國金茂(00817.HK)發佈公吿,於2022年6月30日,公司間接全資附屬公司興茂置業與豪吉置業簽訂豪吉協議,據此,興茂置業同意收購而豪吉置業同意出售項目公司青島方虔置業有限公司14%的股權,對價為人民幣9257萬元。

此外,興茂置業透過北交所舉辦的公開掛牌程序成功投得中海發展所持項目公司18%的股權。於2022年6月30日,興茂置業與中海發展簽訂中海協議,據此,興茂置業同意收購而中海發展同意出售項目公司18%的股權,對價為人民幣1.19億元。

於本公吿之日,項目公司由興茂置業、豪吉置業及中海發展分別持有其68%、14%及18%的股權,為公司的間接非全資附屬公司。於豪吉收購及中海收購完成後,項目公司將成為公司的間接全資附屬公司。

項目公司主要從事該地塊的開發。該地塊位於中國山東省青島市高新區,佔地面積為92,103平方米,規劃總建築面積為383,515平方米。該地塊上正在開發面積約為186,685平方米的一家大型購物中心金茂覽秀城,以及面積約為196,830平方米的住宅物業。

於本公吿之日,項目公司為公司的間接非全資附屬公司,其日常經營管理及該地塊的開發均由集團主導負責。通過豪吉收購及中海收購,集團能夠獨立持有該地塊,特別是其中正在開發並預計將於2022年底開業的一家大型購物中心金茂覽秀城。金茂覽秀城作為集團城市運營項目的重要配套商業設施,對城市運營項目的整體商業氛圍打造及人口導入具有重要的作用。在豪吉置業及中海發展退出項目公司後,集團可實現對金茂覽秀城的統一管理營運,提高運營效率,同時,有助於集團推動金茂覽秀城與其他配套設施聯動,盤活項目各業態協同發展。
