德銀天下(02418.HK)擬全球發售5.43億股 引入鋭明技術等基石
格隆匯6月30日丨德銀天下(02418.HK)發佈公吿，公司擬全球發售5.43億股股份，其中香港發售股份5430萬股，國際發售股份4.887億股，另有15%超額配股權；2022年6月30日至7月8日招股，預期定價日為7月8日；發售價將為每股發售股份1.78-2.13港元，每手買賣單位1500股，入場費約3227港元；中信建投國際為獨家保薦人；預期股份將於2022年7月15日於聯交所主板掛牌上市。
集團為商用車全產業鏈的參與者提供多種增值服務，包括物流及供應鏈服務、金融服務及車聯網數據服務。商用車主要包括卡車、皮卡、拖車、巴士及貨車。集團由陝汽控股集團於2005年創立，為陝汽控股集團製造的商用車提供物流及供應鏈服務。按2021年重型商用車銷量計，陝汽控股集團為中國第四大商用車集團，2021年的市場份額為13.8%。其後，集團已進一步發展業務，提供涵蓋商用車全產業鏈的多種服務。
集團已訂立基石投資協議，據此，在若干條件規限下，基石投資者已同意或促使彼等指定實體以發售價認購合共2600萬美元(或約2.041億港元)可購買的發售股份數目。假設發售價為1.96港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將認購的發售股份總數將約為1.04億股。基石投資者包括陝西泰德汽車空調有限公司、西安遠大電子設備有限公司以及鋭明技術(002970.SZ)的全資附屬公司鋭明電子有限公司。
假設發售價為每股H股1.96港元，倘超額配股權並無獲行使，集團估計將自全球發售收取所得款項淨額約9.734億港元。其中，所得款項淨額約37.5%將用於商用車後市場線下數字化倉儲及配送網絡與維修服務網絡的建設；約22.5%將用於商用車後市場線上服務平台(車輪滾滾在線平台)的持續搭建。集團將基於已有的車輪滾滾在線平台進行系統升級與開發，從而形成面向用户的統一線上服務平台；約30.0%將用於提升車聯網及數據服務板塊的核心技術能力及數據服務能力；及所得款項淨額約10.0%將用於補充一般營運資金。
