健之佳(605266.SH)：擬購買唐人醫藥100%股權 以實現對其連鎖藥房品牌及直營門店等的併購
格隆匯6月29日丨健之佳(605266.SH)公佈重大資產購買報吿書(草案)，上市公司擬通過支付現金方式，分兩個階段購買標的公司股東合計持有的河北唐人醫藥有限責任公司(簡稱“唐人醫藥”“標的公司”)100%股權，達到控股並進一步全資控制標的公司的目的，以實現對標的公司連鎖藥房品牌及直營門店、各項經營資產、經營資源及其經營權益的併購。
此次交易/本階段交易購買標的公司80%股權；第二階段，業績承諾期間屆滿後，上市公司根據標的公司業績承諾期業績完成情況應當或有權按照協議約定的條件購買剩餘20%股權，此次交易具體情況如下：此次交易，上市公司通過支付現金方式分別購買交易對方合計持有的標的公司80%股權，其中：購買珏靜志遠合夥企業持有的標的公司26.6640%股權、明照遠志合夥企業持有的標的公司26.6720%股權、舉成勤酬合夥企業持有的標的公司26.6640%股權。此次交易完成後，標的公司將成為上市公司控股子公司。
經交易各方協商確定，100%股權轉讓價格為20.735億元。此階段交易收購標的公司80%股權，交易作價為16.588億元，其中珏靜志遠合夥企業持有的26.6640%股權交易作價為5.53億元，明照遠志合夥企業持有的26.6720%股權交易作價為5.53億元，舉成勤酬合夥企業持有的26.6640%股權交易作價為5.53億元。
此次交易有利於公司聚焦主業擴大規模，提高市場競爭力；有利於公司提升對上游的議價能力和專業服務能力，實現規模效應和協同效應，降低採購成本、提升盈利能力；有利於公司完善區域佈局，突破西南地域限制進入新目標市場，依託門店網絡和成熟的專業團隊拓展營銷網絡、提高市場競爭力；有利於公司依託優質的門店及專業團隊資源，通過全渠道專業服務賦能，提升效率和盈利能力。
此次交易完成後，上市公司將新增唐秦地區和遼寧省6城659家以上的門店；在上市公司派出的管理團隊與標的公司原經營管理團隊實現順利融合，標的公司經營管理團隊穩定、業務穩定、員工穩定、地政關係穩定的基礎上，上市公司將為標的公司穩健、持續拓展所在城市及周邊市場、提升全渠道專業化服務水平、人才發展通道暢通等投入資源、全面支持。進一步提升門店佈局密度和向縣級市場的滲透率，擴大銷售規模、提升市場份額，實現採購、配送的規模效應和協同效應，提升核心競爭力。
