神農科技(300189.SZ)：擬收購寶路水產51%的股權、明起復牌
格隆匯6月28日丨神農科技(300189.SZ)公佈，公司擬通過發行股份及支付現金的方式向綠藍生物購買寶路水產51%的股權，其中，公司以發行股份的方式向交易對方支付其所持標的資產對應價值55%的對價；以現金方式向交易對方支付其所持標的資產對應價值45%的對價。
此次交易中，公司擬採用競價方式向合計不超過35名符合條件的特定對象發行股票募集配套資金，擬發行的股份數量不超過此次發行前總股本的30%，募集配套資金總額不超過此次交易中以發行股份方式購買資產交易價格的100%，發行股份數量及價格按照中國證監會、深交所的相關規定確定。
此次募集配套資金扣除發行費用及中介機構相關費用後，擬用於支付此次交易的現金對價、補充公司/標的公司流動資金或償還債務，其中用於補充流動資金或償還債務的比例將不超過交易作價的25%，或不超過募集配套資金總額的50%。募集配套資金具體用途及金額將在重組報吿書(草案)中予以披露。
此次收購的寶路水產是一傢俱有國際化背景的從事水產苗種選育、繁育的高新技術企業，擁有獨立的羅非魚種質資源庫，業務涵蓋了羅非魚的選育種魚、商業生產種魚的繁育、種質輸出、成魚養殖、魚苗生產銷售、技術推廣等環節。寶路水產目前在海南、廣東擁有一個育種科研基地和四個生產基地，總面積約2800畝。寶路水產為高新技術企業及海南省“專精特新”中小企業。
此次交易完成後，寶路水產將成為公司的控股子公司，公司將由現有的以雜交水稻種子為核心的農作物育種領域，快速進入以羅非魚為主的水產育種領域，拓寬公司在生物育種領域的業務範圍。通過此次交易，公司可借鑑、依託寶路水產經過十餘年積累及其國際化顧問團隊的技術支持，發揮其在遺傳學、統計學、水環境等方面所形成的生物育種的技術優勢，以及其利用遺傳育種統計學構建的種質繁育數據分析系統，為公司現有的農作物育種業務提供技術支持；公司也將在市場渠道、品牌價值、資金渠道等方面給予寶路水產以相應支持，加快其發展速度，為公司創造新的利潤增長點；此外，雙方也將進一步發揮各自優勢，依託海南島生物育種、制種基地的獨特區位優勢，共同開發利潤率更高、競爭門檻更高的動植物繁育新品種，打造公司多品種的育種業務鏈。
公司將於2022年6月29日上午開市起復牌。
