天原股份(002386.SZ)：與萊爾科技、順控發展擬設新公司 主要生產及銷售PVC-O新型管材及PVC生態環保地板等
格隆匯6月26日丨天原股份(002386.SZ)公佈，近年來，公司持續推進“一體兩翼”發展戰略，目前新產業已逐步進入高速發展期，為進一步加快公司高分子新材料產業的發展，不斷拓展市場、提高市場佔有率，2022年6月25日，公司下屬控股子公司宜賓天億新材料科技有限公司(簡稱：天億新材料)與廣東萊爾新材料科技股份有限公司(簡稱：萊爾科技)、廣東順控發展股份有限公司(簡稱：順控發展)簽署《投資合作協議》，共同出資設立有限責任公司(簡稱：新公司)，充分利用天億新材料的技術研發實力、萊爾科技的市場營銷實力和經驗、順控發展在自來水行業的經營和市場渠道優勢，加快天億新材料產品的市場拓展。
新公司註冊資本為人民幣10000萬元，主要生產、銷售PVC-O(雙軸取向聚氯乙烯)新型管材及配套管件、配套膠圈，PVC(聚氯乙烯)生態環保地板。其中，天億新材料出資人民幣5100萬元，佔新公司註冊資本的51%；萊爾科技出資人民幣2300萬元，佔新公司註冊資本的23%；順控發展出資2600萬元，佔新公司註冊資本26%。
新公司業務規劃：未來將以廣東省順德區作為華南基地，計劃建設PVC-O管及配套管件、配套膠圈項目，以及PVC生態環保地板項目，形成完善的產品系列，將市場覆蓋至粵港澳大灣區，搶佔市場發展機會，提高盈利能力，助力天億新材料早日實現資產證券化目標。
天億新材料作為公司控股子公司，依託公司完善的循環經濟產業鏈優勢，主要圍繞國家新興材料產業，重點發展各類高分子新材料，其中PVC-O、PVC高檔生態環保地板作為天億新材料的拳頭產品，是公司從原料供應商到材料供應商的產業轉型升級成果體現。
順控發展成立至今30餘年，配套水業、市政工程等行業控股子公司，擁有供水服務全產業鏈，包括取水、制水、輸水到終端的成熟服務鏈，在供水等領域積累了豐富的行業經驗；擁有順德區供水特許30年(2016年-2045年)經營權，且經營權可經當地政府批准優先延續，形成資源優勢。順控發展的自來水製售業務、垃圾焚燒發電業務所對應的產品、服務供應範圍基本覆蓋順德區全境，在佛山市順德區內處於支配地位。
萊爾科技為上交所科創板上市公司，主營業務為功能性塗布膠膜材料及下游應用產品的研發、生產和銷售。萊爾科技根植成長於廣東順德，擁有成熟的產業鏈發展模式和產業資源，且具備較強的資本運作能力和各類資源協調優勢。
為加快高分子新材料產品的市場拓展，天億新材料對外投資設立子公司，依託天原股份完善的循環經濟產業鏈優勢與天億新材料自身成熟的技術優勢，藉助順控發展本土供水服務全產業鏈優勢，以及萊爾科技產業資源優勢，實現強強聯合，以粵港澳大灣區為基點，填補華南市場空白，逐步輻射全國拓展PVC-O新型管材及PVC生態環保地板業務，實現共同發展。此次對外投資符合公司的發展戰略，且具有較好的市場發展前景和經濟效益。
