天潤雲(02167.HK)擬全球發售4353萬股 引入聲網Agora等基石
格隆匯6月21日丨天潤雲(02167.HK)發佈公吿，公司擬全球發售4353萬股股份，其中香港發售股份435.32萬股，國際發售股份3917.68萬股，另有15%超額配股權；2022年6月21日至6月24日招股，預期定價日為6月24日；發售價將為每股發售股份12.85-13.85港元，每手買賣單位200股，入場費約2798港元；中金公司為獨家保薦人；預期股份將於2022年6月30日於聯交所主板掛牌上市。
集團提供多種雲原生客户聯絡解決方案，雲原生客户聯絡解決方案為使企業能夠與客户進行多渠道互動的聯絡解決方案。根據灼識諮詢報吿，以2021年的收入計算，集團是中國最大的部署於公有云的客户聯絡解決方案提供商，市場佔有率達10.3%。根據同一消息來源，於2021年，按收入計，部署於公有云的客户聯絡解決方案的市場規模達人民幣40億元，分別佔基於雲的客户聯絡解決方案市場的38.2%及客户聯絡解決方案市場的26.9%。集團的解決方案基於雲原生的安全可靠平台，讓企業可創造非凡的客户溝通體驗，並以智能化的方式進行銷售、營銷、客户服務及其他業務職能。於 2021年，集團通過多個渠道促進了企業與其客户之間超過30億次的語音通話、短信及文本聊天形式的互動，有助於提升企業的生產力和效率。
集團已訂立基石投資協議，據此，基石投資者已同意待若干條件達成後，按發售價認購以總金額1.808億港元可購買的發售股份若干數目。假設發售價為13.35港元(即本招股章程所載指示性發售價範圍的中位數)，基石投資者將予認購的發售股份總數為1354.3萬股發售股份。基石投資者包括Platinum Investment Management Limited及Agora, Inc.(聲網Agora，其於納斯達克全球精選市場上市，股份代號為API)。
假設發售價為每股發售股份13.35港元，集團將取得的全球發售估計所得款項淨額(假設超額配股權未獲行使)2.673億港元，其中，所得款項淨額約75%將用於進一步提高集團的核心技術、優化現有解決方案組合及開發互補解決方案，以滿足不斷變化的客户需求、提供更全面的解決方案及提高集團在客户聯絡解決方案市場的整體競爭力；約20%將在未來五年用於進一步提升集團在客户聯絡解決方案市場的品牌形象，擴大集團的直接銷售團隊，提高集團的銷售能力及加大集團的營銷力度；及約5%將用作營運資金及一般企業用途。集團將使用餘下的所得款項作為營運資金及一般企業用途，以支持集團的業務運營及增長。
