ST德豪(002005.SZ)：已就原實控人涉嫌違法犯罪行為向公安機關報案
格隆匯6月20日丨ST德豪(002005.SZ)公佈，公司於近日收到蚌埠德豪投資有限公司(“蚌埠德豪”)相關人員實名舉報上市公司原實際控制人王冬雷涉嫌通過蚌埠德豪挪用、侵佔蚌埠市政府撥付給上市公司的專項財政補貼資金2.4億元，已經就相關事項向公安機關報案。蚌埠德豪於2014年2月11日至2016年9月7日期間為上市公司原控股股東蕪湖德豪投資有限公司(“蕪湖德豪”)全資子公司。舉報材料稱：根據公司與蚌埠市人民政府於2011年1月簽署的《投資合作框架協議》、以及於2013年12月20日簽署的《關於在蚌埠投資LED項目的補充協議》(以下合稱“LED項目合作協議”)，公司同意在蚌埠市投資建設LED產業基地，蚌埠市人民政府同意根據固定資產投資按比例給予項目公司財政補貼。蚌埠高新投資集團有限公司根據原實際控制人王冬雷的安排於2015年11月至2016年7月期間向原控股股東蕪湖德豪全資子公司蚌埠德豪轉入財政補貼資金共計3.75億元，用於上市公司控股子公司蚌埠三頤半導體有限公司(“三頤半導體”)項目建設。其後，蚌埠德豪向蚌埠高新投資集團有限公司退回1.35億元，由蚌埠高新技術產業開發區財政局通過財政補貼形式直接向三頤半導體支付，剩餘2.4億元產業扶持資金涉嫌被蚌埠德豪侵佔。公司獲悉實名舉報人報案已經獲得公安機關受理並取得《受案回執》，受案登記文號為蚌公(經)受案字[2022]484號。
收到舉報材料後，上市公司董事會高度重視，立即緊急召開臨時專題會議討論，並設立專項調查組，對舉報材料所稱事項進行核實與查證，初步查證情況如下：
1、為履行與蚌埠市人民政府簽署的LED項目合作協議，經公司於2014年1月13日召開的第四屆董事會第三十五次會議以及於2014年2月11日召開的2014年第二次臨時股東大會審議通過，公司擬與蚌埠市城市投資控股有限公司成立合資公司三頤半導體。2014年4月21日，公司與蚌埠高新投資集團有限公司、蚌埠投資集團有限公司共同設立項目公司三頤半導體。截至目前三頤半導體收到蚌埠高新技術產業開發區財政局撥付的LED倒裝芯片項目產業資金合計1.35億元。
2、蚌埠高新投資集團有限公司於2015年11月至2016年7月期間向蚌埠德豪累計轉入3.75億元，資金用途為產業扶持資金。
3、關於蚌埠市人民政府對於上市公司及三頤半導體是否還存在其他財政補貼資金等事項，尚待進一步查證。
基於上述情況，公司認為原實際控制人王冬雷涉嫌利用其上市公司董事長、法定代表人及實際控制人的身份便利，侵佔上市公司資產，背信上市公司利益，已經就原實際控制人涉嫌違法犯罪行為向公安機關報案。
因此次案件尚未進入立案程序，公司目前無法判斷本次案件對本期利潤或期後利潤等的影響。後續公司將積極配合公安機關的調查工作，維護公司和全體股東利益，並密切關注案件的進展情況，嚴格按照有關法律、法規等規定和要求及時履行信息披露義務。
