*ST圍海(002586.SZ)：公司實控人將變更為餘姚市國有資產管理辦公室
格隆匯6月19日丨*ST圍海(002586.SZ)公佈，此次權益變動原因為公司控股股東浙江圍海控股集團有限公司(“圍海控股”)執行《浙江圍海控股集團有限公司等八公司合併重整計劃》。
此次權益變動前，圍海控股持有圍海股份492,677,204股股份，占上市公司總股本的43.06%，寧波源真投資管理有限公司(“源真投資”)、寧波舜農及其一致行動人杭州光曜致新鍾洋股權投資合夥企業(有限合夥)(“光曜鍾洋”)未持有上市公司股份。此次權益變動後，通過執行法院裁定，源真投資將持有圍海股份124,084,972股，占上市公司總股本的10.84%，寧波舜農將持有圍海股份168,689,320股股份，占上市公司總股本的14.74%；光曜鍾洋將持有圍海股份169,902,912股股份，占上市公司總股本的14.85%，圍海控股持有圍海股份30,000,001股股份，占上市公司總股本的2.62%。
根據《浙江圍海控股集團有限公司等八公司合併重整計劃》，投資人應出資102,454.17萬元用於收購股權，此次權益變動，三方約定，寧波舜農實際出資6829.61萬元，源真投資實際出資25624.56萬元、光曜鍾洋實際出資70000萬元用於支付給管理人取得圍海股份40.44%的股票。重整投資人將另行與圍海股份協商，通過收購圍海股份違規擔保、資金佔用的債權收益權等方式化解圍海股份的資金佔用、違規擔保問題。
此次權益變動情況：圍海股份的控股股東由圍海控股變更為寧波舜農集團有限公司(“寧波舜農”)，實際控制人由馮全宏、羅全民、邱春方、王掌權變更為餘姚市國有資產管理辦公室。
2022年4月12日，寧波舜農與光曜鍾洋簽署《股份表決權委託協議》，自光曜鍾洋取得圍海股份169,902,912股股份至寧波舜農收購東方資產持有的光曜鍾洋的合夥份額最後收購日止，委託方光曜鍾洋不可撤銷地將其持有的169,902,912股股份(佔標的公司總股本的14.85%)對應的全部表決權等股東權利委託給受託方寧波舜農行使。在上述表決權委託期限內，寧波舜農可以通過委託方持有的公司股份擴大其所能夠支配的公司股份表決權數量。
