快狗打車(02246.HK)擬全球發售3120萬股 引入奇瑞及廣發證券作為基石
格隆匯6月14日丨快狗打車(02246.HK)發佈公吿，公司擬全球發售3120萬股股份，其中香港發售股份312萬股，國際發售股份2808萬股，另有15%超額配股權；2022年6月14日至6月17日招股；發售價將為每股發售股份21.50港元，每手買賣單位200股，入場費約4343港元；瑞銀集團、中金公司、交銀國際及農銀國際為聯席保薦人；預期股份將於2022年6月24日於聯交所主板掛牌上市。
公司是亞洲主要的線上同城物流平台。公司在亞洲五個國家及地區(即中國內地、中國香港、新加坡、韓國及印度)的340多個城市開展業務。公司在線上同城物流領域擁有並經營兩個獲高度認可及值得信賴的品牌：中國內地的快狗打車及亞洲其他國家和地區的GOGOX。根據弗若斯特沙利文的資料，按2021年交易總額計，公司是中國內地第三大線上同城物流平台，市場份額為3.2%(排名於市場份額為52.8%及5.5%的參與者之後)，公司還是中國香港市場領導者，市場份額為50.9%。根據同一資料來源，按2021年交易總額計，中國內地和中國香港合計約佔亞洲線上同城物流市場的71%。
公司的集成智能平台將司機與需要在同一城市交付貨物和商品的託運人無縫連接起來，制定了促進透明度、信任及效率的交易慣例。公司的智能線上平台使便捷、優質的物流服務能夠滿足大型企業、中小企業及個人託運人的不同需求，並協助司機獲得可持續發展的機會。
公司已訂立基石投資協議，據此，基石投資者已同意在若干條件的規限下，按發售價認購或促使其指定實體認購總金額約6350萬美元可購買的發售股份數目。基石投資者以21.50港元的發售價將予認購的發售股份總數為2317.32萬股。基石投資者包括奇瑞商用車(安徽)有限公司(由奇瑞控股集團有限公司直接全資擁有)、廣發全球資本有限公司(最終由廣發證券擁有100%的股權)。
假設發售價為每股21.50港元且假設超額配售權未獲行使，公司估計公司將獲得的全球發售所得款項淨額約為5.673億港元。公司當前擬將全球發售所得款項淨額約40%用於擴大公司的用户基礎及提升公司的品牌知名度；約20%預計用於開發新服務及產品以增強公司的變現能力；約20%預計用於在海外市場尋求戰略聯盟、投資及╱或收購，這與公司的業務互補且與公司的戰略一致；約10%預計將用於提升公司的技術能力及增強公司的研發能力，包括升級公司的訊息及技術系統，以增強公司對不斷變化的市場條件的適應能力並提高公司的定價效率，以及從第三方服務供應商採購先進技術；及約10%預計將用於營運資金及一般公司用途。倘超額配售權獲悉數行使，公司將收取的所得款項淨額約為6.639億港元。
