領智金融(08163.HK)擬1400萬港元收購NOIZChain Limited全部股權
格隆匯6月14日丨領智金融(08163.HK)發佈公吿，2022年6月13日，公司直接全資附屬公司Benefit Palace Limited作為買方就收購事項與賣方訂立買賣協議。根據買賣協議，各賣方有條件同意出售待售股份(即目標公司NOIZChain Limited全部已發行股本)，代價為1400萬港元。公司會於完成交易後，按發行價每股代價股份約0.21港元配發及發行合共6666.666萬股代價股份予賣方，藉此結付代價。
代價股份將會按發行價每股約0.21港元發行，發行價較收市價0.22港元折讓約4.55%。該代價股份佔公司於該公吿日期現有已發行股本約13.74%及經配發及發行代價股份擴大的已發行股本約12.08%(假設公司股本於完成交易前並無變動)。
目標公司為一家區塊鏈即服務(“BaaS”)公司，為企業提供量身定製的服務及建議，讓彼等可使用雲端解決方案以管理及開發其應用及智能合約，而毋須開發及維護其本身的區塊鏈環境。目標公司鋭意使區塊鏈技術廣泛應用於每家企業，並推動區塊鏈的大規模採用及商業化。目標公司亦致力於幫助企業以環保方式迎接Web3.0時代。
目標公司主要從事提供私有區塊鏈，作為基礎科技，持續支援所有核心價值交易及業務應用；為企業設計及建立真實的元宇宙，以連接現實和虛擬世界；及在NOIZ綠鏈為企業及個人客户創造及發行智能合約。
目標公司已開發一款名為“NOIZ鏈”的環保區塊鏈，採用容量證明(“PoC”)共識機制，允許網絡中的客户使用可用的硬碟空間以決定挖礦權和驗證交易。相較於工作證明等其他共識機制，PoC被視為可節省能源，因為參與者只需短暫提供其硬碟上的儲存空間，而不需要昂貴的專門硬件以解開高強度算式加密，消耗大量的電力。NOIZ綠鏈比常見的工作證明平台少消耗大約2,600倍電力。在NOIZ綠鏈的基礎上，目標公司在NOIZ綠鏈開發了元宇宙(“NOIZ元宇宙”)和一體化的電子錢包(“Beam電子錢包”)。
