普麗盛(300442.SZ)：資產重組事項獲證監會同意註冊批覆
格隆匯6月5日丨普麗盛(300442.SZ)公佈，近日，公司收到中國證券監督管理委員會《關於同意上海普麗盛包裝股份有限公司重大資產置換及向京津冀潤澤(廊坊)數字信息有限公司等發行股份購買資產並募集配套資金註冊的批覆》(證監許可〔2022〕1100號)，批覆主要內容如下：
“一、同意你公司向京津冀潤澤(廊坊)數字信息有限公司發行584,695,846股股份、合肥弘博潤澤股權投資合夥企業(有限合夥)發行25,735,044股股份、寧波楓文股權投資基金合夥企業(有限合夥)發行20,584,741股股份、廈門中金盈潤股權投資基金合夥企業(有限合夥)發行15,438,555股股份、啟鷺(廈門)股權投資合夥企業(有限合夥)發行15,438,555股股份、寧波梅山保税港區平盛安康股權投資基金合夥企業(有限合夥)發行13,894,700股股份、上海煒貫投資合夥企業(有限合夥)發行11,836,225股股份、共青城潤湘投資合夥企業(有限合夥)發行9,325,917股股份、廊坊澤睿科技有限公司發行8,496,352股股份、潤和(廊坊)企業管理合夥企業(有限合夥)發行5,485,833股股份、天津市平安消費科技投資合夥企業(有限合夥)發行5,146,184股股份、北京天星匯市政工程有限公司發行2,676,016股股份、潤惠(廊坊)企業管理合夥企業(有限合夥)發行1,152,092股股份、上海森佐企業管理中心)有限合夥)發行514,618股股份購買相關資產的註冊申請。
“二、同意你公司發行股份募集配套資金不超過47億元的註冊申請。
“三、你公司本次發行股份並募集配套資金應當嚴格按照報送深圳證券交易所的有關申請文件進行。
“四、你公司應當按照有關規定及時履行信息披露義務。
“五、你公司應當按照有關規定辦理本次發行股份的相關手續。“六、本批覆自同意註冊之日起12個月內有效。
“七、你公司在實施過程中，如發生法律、法規要求披露的重大事項或遇重大問題，應當及時報吿深圳證券交易所並按有關規定處理。”
