烯石電車新材料(06128.HK)攜手EES成立合營 於密歇根州開發及運營負極材料加工設施
格隆匯5月30日丨烯石電車新材料(06128.HK)公吿，內容有關Graphex Tech(公司的一間間接全資附屬公司)與EES所訂立日期為2022年2月7日的不具法律約束力的諒解備忘錄，當中載列有關成立合營企業的初步諒解。
於2022年5月30日，Graphex Tech與EES訂立該協議，內容有關成立合營企業。成立後，Graphex Tech將初步擁有合營企業三分之一的股權，EES將初步擁有三分之二的合營企業成員權益。合營企業旨在於密歇根州開發及運營負極材料加工設施。
根據該協議，(i)EES向Graphex Tech授出認購期權，以向EES購買30個合營企業單位(相當於三分之一的合營企業成員權益)，代價為3500萬股代價股份；及(ii)Graphex Tech向EES授出認沽期權，以要求Graphex Tech向EES購買30個合營企業單位(相當於三分之一的合營企業成員權益)，代價為3500萬股代價股份。
經加工的球形石墨構成用於生產電動汽車及可再生能源存儲所需鋰離子電池的主要負極材料。隨着電動汽車的生產、銷售及使用預期將於未來十年在全球範圍內成倍增長，尤其是在美國，汽車電池生產商的產量增長預期將相應飆升。
為適應該增長，有必要並預計瀝青包覆球形石墨的加工及產量將每年大幅增加，以滿足對電動汽車不斷增長的需求。於美國境內進行負極材料加工的機遇頗大。位於美國的設施擁有大規模生產優質負極材料的專業知識及能力，將通過提供本地化供應的裨益、降低外部地緣政治風險及開發一流的加工材料，在價值鏈中創造巨大優勢。
透過成立合營企業，公司可進軍美國市場，此乃集團進一步發展其石墨烯產品業務以成為行業主要參與者一的良機。合營企業預期有助拓展及促進石墨烯產品業務在全球市場的增長。此外，預計合營企業將為集團帶來利潤及長期價值。
