澳博控股(00880.HK)擬19.06億港元購入海立方非博彩區
格隆匯5月26日丨澳博控股(00880.HK)公吿，於2022年5月26日，買方Harbour Tide Limited（為公司的附屬公司）、公司（作為買方及發行可換股債券發行人的擔保人）、發行人（作為可換股債券的發行人，併為公司的附屬公司）、賣方Jai-Alai
Shopping Centre Company Limited（為澳娛的附屬公司）及澳娛（作為賣方的擔保人）訂立轉讓協議，據此，應公司及澳娛綜合的要求及為其利益，(i)賣方同意向澳門政府提供承諾書，根據澳娛綜合簽訂的博彩批給合同的要求，將海立方博彩區歸屬予澳門政府；及(ii)賣方同意出售及買方同意購入海立方非博彩區。
轉讓事項的代價19.06億港元將悉數以發行人向澳娛發行可換股債券的方式支付，及為海立方非博彩區市值5.16億港元與海立方博彩區市值13.90億港元之和，由獨立專業估值師釐定。每股換股股份的初步換股價4.07港元較股份於2022年5月26日收市價每股3.0港元溢價約35.7%。若全部轉換4.68億股換股股份相當於(i)本公吿日期公司已發行股本約8.2%；及(ii)經發行換股股份擴大後公司已發行股本約7.6%。
海立方位於澳門羅理基博士大馬路1470至1526號，由澳娛的附屬公司賣方所擁有。海立方娛樂場於2009年12月15日開始營運，並一直為集團營運最成功的娛樂場之一。海立方娛樂場是位於外港區的多層娛樂場設施，與港澳碼頭相連，而港澳碼頭是澳門最活躍的渡輪碼頭。此外，通過港珠澳大橋和拱北與中國大陸交界的關口到達的遊客也能方便到達海立方。
海立方為一座4層建築，面積約為39,242平方米。約34.6%的面積用於經營娛樂場博彩業務，其餘面積（即海立方非博彩區）為公共空間、餐飲店及零售店。海立方已由賣方出租予澳娛綜合，於截至2021年及2020年12月31日止年度，澳娛綜合已付的租金總額分別為約8,060萬港元及約4,300萬港元。
根據博彩法第40條及根據博彩批給合同，於批給期結束時，澳娛綜合以及其他承批公司的娛樂場及相關設備須無償及不附帶任何產權負擔或負擔自動歸屬予澳門政府而毋須作出補償。根據最近澳門政府與集團之間關於延長其博彩批給合同至2022年12月31日的政府程序的討論，以及為使集團滿足相關規定並使集團合資格申請延期，應公司及澳娛綜合的要求及為其利益，以及交換可觀的代價，澳娛綜合（海立方的承租人）和賣方（海立方的擁有人）已經同意於批給屆滿日期前向澳門政府提供承諾書，確認海立方博彩區將於批給期結束時，即2022年12月31日，歸屬予澳門政府。
監於上文所述，集團訂立轉讓協議以滿足物業擁有權規定，並使澳娛綜合合資格投標新的博彩批給合同，為期10年。最後，公司認為轉讓事項為非常必要，因為其可使澳娛綜合在海立方內經營相輔相成的博彩及非博彩業務，獲取協同效益。
