新紐科技(09600.HK)擬收購富華孵化器10%股權
格隆匯5月23日丨新紐科技(09600.HK)宣佈，於2022年5月23日，公司全資附屬公司北京新紐與富華投資訂立股權轉讓協議，據此，北京新紐同意根據股權轉讓協議的條款及條件購買，而富華投資同意根據股權轉讓協議的條款及條件出售富華孵化器10%的股權。於收購事項完成後，北京新紐將合共持有富華孵化器20%的股權。
據悉，富華孵化器為一間於2021年7月23日在中國成立的有限公司，是一家專注為早期科技創新型企業從辦公室場所提供、產業鏈合作、投融資諮詢、整體形象傳播、技術研發支持等方面給予全面支持並提供全方位的孵化服務的企業。富華孵化器的註冊資本總額為人民幣2280萬元，其中富華投資及北京新紐分別同意認繳人民幣1368萬元及人民幣228萬元的出資額，分別佔富華孵化器於緊接收購事項前的60%及10%股權。截至公吿日期，富華投資已向富華孵化器出資人民幣206.6萬元，北京新紐已向富華孵化器出資人民幣228萬元。緊隨收購事項完成後，富華孵化器的註冊資本總額將保持不變，而富華投資及北京新紐將分別持有富華孵化器50%及20%的股權。富華孵化器的剩餘股權由黃宇及郭浩分別持有20%及10%股權。於公吿日期，郭浩持有公司已發行股本的10.17%。
自首次公開發售以來，公司一直積極且有選擇性地在目標市場尋求可與其現有業務形成互補或產生協同效應的收購及戰略聯盟，以鞏固公司在業界的領先市場地位，深化戰略合夥關係及進軍新市場。富華孵化器的控股股東富華投資致力於投資處於早期階段的初創科技企業，專注於技術(尤其是硬技術)等領域。自北京新紐於2021年8月認繳富華孵化器的出資以來，富華孵化器作為孵化器已經成功吸引了多家在孵企業進駐。通過收購事項，公司可通過富華孵化器進一步探索及孵化行業上下游優秀的種子項目，從而加快公司在人工智能及大數據行業的戰略部署。
