中集集團(02039.HK)：新加坡來福士、南方中集與煙台國豐集團正式簽署《合資合同》
格隆匯5月23日丨中集集團(02039.HK)公佈，2021年6月30日，集團與煙台國豐投資控股集團有限公司("煙台國豐集團")簽署了《關於共同設立深海產業發展引領平台之戰略合作協議》，雙方擬整合優質資產，共同推進深海產業的發展。
2021年12月16日，公司董事會審議通過，同意公司非全資子公司中集來福士海洋工程(新加坡)私人有限公司("新加坡來福士")、公司全資子公司深圳南方中集集裝箱製造有限公司("南方中集")與煙台國豐集團擬將進一步簽署《關於共同設立煙台中集來福士海洋科技集團有限公司之合資經營合同》("《合資合同》")。簽約各方將共同出資註冊成立合資公司煙台中集來福士海洋科技集團有限公司("海洋科技集團")。
2022年5月23日，新加坡來福士、南方中集與煙台國豐集團正式簽署《合資合同》。《合資合同》的主要條款按與該等公吿所述的協議內容大致相同的條款訂立，最新進展如下：
出資安排海洋科技集團註冊資本為人民幣50億元，包括：(1)新加坡來福士以其持有的煙台中集來福士海洋工程有限公司("煙台中集來福士")52.31%的股權、煙台中集萊佛士船業有限公司("煙台萊佛士船業")83.47%的股權及貨幣資金人民幣3.2億元的等值外幣出資，共計人民幣10.56億元，佔海洋科技集團21.12%的股權；(2)南方中集以其持有的煙台中集來福士41.98%的股權、中集海洋工程研究院有限公司("海工研究院")100%的股權及債權人民幣24.08億元出資，共計人民幣31.09億元，佔海洋科技集團62.18%的股權；(3)煙台國豐集團以貨幣資金人民幣8.35億元出資，佔海洋科技集團16.7%的股權。此次交易完成後，海洋科技集團為公司非全資附屬公司。
公吿稱，希望通過與煙台國豐集團合資方式，整合在煙台的集團海工相關資產，成立合資公司海洋科技集團，重點發展高端海上油氣生產裝備、海上風電、海水淡化等海洋新業務。此次交易是依託各方的資源優勢，不斷提高產品質量，提高勞動生產率，增強公司產品競爭力，從而獲得滿意的社會效益和經濟效益。對於集團海工板塊而言，此次交易可以帶來增量現金，同時降低集團海工板塊的資產負債率，更重要的是可以帶來煙台市海洋產業發展的重要資源，深入推進集團海工業務的升級轉型，並將帶來積極的影響。對於集團而言，此次交易完成以後，海洋科技集團為公司非全資附屬公司，不會導致集團主要業務和經營範圍發生重大變化，不會對本年度財務業績產生重大影響。
