綠景中國地產(00095.HK)5000萬美元換股債到期日延長1年
格隆匯5月19日丨綠景中國地產(00095.HK)公佈，於2022年5月18日，可換股債券認購人、公司及控股股東黃康境先生訂立2022年延長契據，以進一步延長餘下未轉換可換股債券的到期日至2023年5月18日，並修訂可換股債券認購協議的若干條款、可換股債券的條款及其他相關交易文件。對可換股債券認購協議、可換股債券及其他相關文件作出的建議修訂須待以下條件達成後，方可作實：
(i)公司根據可換股債券認購協議的條款及條件於2022年5月18日或之前完成向可換股債券認購人贖回可換股債券未贖回本金額2000萬美元(連同相應適用內部回報率約311.62萬美元)；
(ii)公司根據可換股債券認購協議的條款及條件於2022年5月18日或之前向可換股債券認購人悉數支付首期行政費37.50萬美元；
(iii)公司於2022年5月18日或之前向可換股債券認購人支付可換股債券的應計利息約190.92萬美元；及
(iv)取得一切所需批准，包括但不限於聯交所的批准。於達成上述條件後，根據2022年延長契據對可換股債券認購協議以及可換股債券的條款及條件作出的修訂將自2022年5月18日起生效。
可換股債券的本金總額為1億美元(相等於約7.76億港元)。截至該公吿日期，(i)可換股債券的本金額1000萬美元(相等於約7760萬港元)已轉換為2879.4063萬股已發行換股股份；(ii)可換股債券的未贖回本金額2000萬美元由公司於2020年11月18日贖回；及(iii)可換股債券的未贖回本金額2000萬美元由公司於2022年5月18日(即根據2022年延長契據延長可換股債券前的到期日)贖回。
假設可換股債券的餘下未贖回本金額(即5000萬美元)按換股價每股換股股份2.505港元獲悉數轉換，則可換股債券將可轉換約為1.5489億股新股份。換股股份(倘獲發行)將佔公司現有已發行股本約3.04%及公司經發行所有換股股份擴大的已發行股本約2.95%。
據悉，該可換股債券乃指於2022年到期5.5%的可換股債券；可換股債券認購人為建銀國際(控股)有限公司的間接全資特殊目的工具。建銀國際(控股)有限公司為由中國建設銀行股份有限公司(一間於中國註冊成立並於聯交所主板(股份代號：0939)及上海證券交易所(股份代號：601939)上市的股份有限公司)間接全資擁有的投資服務旗艦公司。
董事會認為，將可換股債券的到期日延長12個月及作出其他相關修訂反映集團與可換股債券認購人及其母公司建銀國際(控股)有限公司之間的長期戰略業務關係，不僅有利於兩個集團，亦將增加公司及其附屬公司營運資金的流動性。因此，董事會認為2022年延長契據的條款屬公平合理，且符合公司及其股東的整體利益。
