新創建集團(00659.HK)：通過收購GOODMAN CHINA (WESTERN)的股份成立合營企業
格隆匯5月16日丨新創建集團(00659.HK)發佈公吿，2022年5月14日，買方A(公司間接全資附屬公司)及公司(作為買方A擔保人)與賣方A、賣方B及賣方C(視情況而定)訂立股份購買協議，據此：(a)買方A同意收購及賣方A、賣方B及賣方C(視情況而定)同意出售各目標公司的全部股權；及(b)賣方A、賣方B及賣方C(視情況而定)同意約務更替及買方A同意接納於完成時目標公司結欠賣方A、賣方B及賣方C(或相關賣方的附屬公司，視情況而定)的股東貸款全部金額的約務更替。
目標公司擁有目標組合於成都及武漢的六項物流物業的全部權益。有關買方A將根據股份購買協議就目標公司收購事項支付的最終購買價總額(包括目標公司股權及將向買方A進行約務更替的股東貸款的代價)為以下各項總和的等值美元款額：(a)初始購買價總額人民幣22.90億元(相當於約26.63億港元)；及(b)目標公司及其項目公司基於其各自的期末賬目的最終經調整資產淨值(且僅就股份購買協議F而言，最終購買價亦將參考經減少租賃保證金額進行調整)。
作為訂約方之間整體安排的一部分，買方B(公司間接全資附屬公司)已同意與賣方D成立合營企業，透過根據Goodman China (Western)股份購買協議收購Goodman China (Western)全部已發行股本的50%及訂立股東協議，向目標組合提供營運管理服務及作為探索集團與嘉民集團(及其管理的基金)之間於中國進一步合作機會的平台。
2022年5月14日，買方B與賣方D訂立Goodman China (Western)股份購買協議，據此，買方B同意收購及賣方D同意出售Goodman China (Western)的50股普通股(佔其全部已發行股本的50%)，代價為人民幣100元與Goodman China (Western)及嘉民企業管理(Goodman China (Western)的全資附屬公司)最終資產淨值50%總和的等值美元款額。
目標組合由六個可出租總面積約53.1萬平方米的優質物流地產物業組成，當中包括五個已竣工項目、一個在建中項目及一幅待開發的地皮。目標組合位處於中國成都及武漢的中西部具戰略性地位的物流樞紐，由嘉民集團開發且目前由其管理。集團的目標為建立一個具有整全平台的物流生態系統，該平台以核心資產及網絡作為骨幹，亦可與集團在該領域的現有投資產生協同效應。目標組合由全球物流市場的領導者開發及管理，具有優質規格，使集團能夠立即實現在中國的戰略位置上擁有超過53.1萬平方米可出租總面積規模及擴張機遇。董事會認為，收購事項將成為集團在中國物流業進一步擴張的可持續平台的基石，並與集團通過把握具有強大現金流及增值潛力的機會實現長期可持續增長的願景一致。
