中國中鐵(00390)擬110億元收購雲南滇中引水工程33.54%股權
格隆匯5月12日丨中國中鐵(00390)公吿，於2022年5月12日，雲南信增(作為賣方)、其他雲南方股東(作為股東)、中鐵開投(公司全資附屬公司，作為股東)、引水建管局(作為行使雲南省國資委委託的股東權利的一方)、目標公司雲南省滇中引水工程有限公司與公司(作為買方)就買賣待售股權(佔目標公司股權的33.54%)訂立購股協議。根據購股協議，待售股權的代價為人民幣110億元。
於公吿日期，公司、中鐵開投、雲南省國資委、雲南信增、雲南工投及雲南省投分別持有目標公司5.17%、14.66%、14.82%、45.38%、19.21%及0.76%股權。於交割後，本公司、中鐵開投、雲南省國資委、雲南信增、雲南工投及雲南省投將分別持有目標公司38.71%、14.66%、14.82%、11.84%、19.21%及0.76%股權。
目標公司主要從事雲南省滇中引水工程(一期)的建設管理。
2022年初，國務院、水利部發布的《"十四五"水安全保障規劃》明確了"十四五"時期水安全保障的主要目標和重點任務。滇中引水是國家172項重大水利工程之一，是"十四五"期間國家重點水利水電工程，是雲南省可持續發展的戰略性基礎工程。
水利水電工程是本公司"十四五"發展規劃中開啟第二增長曲線、大力培育的新興業務之一，實施交易，有利於集團加快培育和發展水利水電業務板塊，有利於公司繼續深入參與雲南省境內乃至全國各地水利水電工程項目，是本公司以市場為導向調整產業結構、優化資源配置，以增量市場助推產業轉型、做大新興業務發展盤的重要舉措。
與此同時，通過與雲南股東方在目標公司開展股權合作，不但是"央企入滇"的延續和深化，更是打造央地合作典範的有益嘗試，同時藉助公司產業優勢、先進管理和資金實力，力促滇中引水工程保質保量如期完工，助力雲南省基礎設施建設再上新台階。
