捷強裝備(300875.SZ)：擬收購卡迪諾科技100%股權 明起復牌
格隆匯5月11日丨捷強裝備(300875.SZ)公佈，公司擬向王啟光、吳兆廣、王靜、錢龍剛、常軍林、張靜、向浩、張春雷、盛增理、陳高峯發行股份及支付現金購買其持有的卡迪諾科技100%股權。其中，公司擬向全體交易對方分別以發行股份方式支付73%的交易對價，以現金方式支付27%的交易對價，最終的股份和現金的支付比例將由交易各方協商後，另行簽署補充協議明確約定。
交易各方同意，此次交易標的資產的最終交易作價，將以符合《證券法》規定的具有證券期貨業務從業資格的資產評估機構對標的資產出具的評估報吿所載評估結果為參考依據，並考慮此次交易完成後上市公司將繼受承擔對標的公司1100萬元未實繳出資的後續繳納義務，由交易各方協商確定。交易各方同意，在評估報吿出具後，由交易各方另行簽署相關協議以確認具體金額。截至預案摘要簽署日，此次交易標的資產的審計、評估工作尚未完成。
此次交易中，公司擬向不超過35名符合條件的特定對象發行股票募集配套資金。募集配套資金總額不超過此次擬以發行股份方式購買資產的交易價格的100%，且發行股份數量不超過此次發行前上市公司總股本的30%。最終的發行數量及價格按照證券監管機構的相關規定確定。
此次交易擬購買的標的公司卡迪諾科技的主營業務為核輻射檢測與監測設備以及核輻射防護的技術研究、設計開發、生產和銷售，下游客户涵蓋軍方、核工業、環境保護、醫療衞生、海關商檢、國土安全、科研院校、工礦等眾多領域。標的公司經過多年經營實踐，已形成集“核輻射測量設備技術研發、項目軟硬件供應、技術服務”於一體的經營模式，通過為客户提供符合其行業特殊要求的研發試製、定型投產及核監測系統集成服務，實現營業收入。
此次交易完成後，一方面，公司與標的公司將通過研發、專利、產品、市場、管理等方面實施有效協同，開展協同研發與創新，持續完善產業佈局並擴展優勢產品組合，實現優勢互補，以進一步提升綜合實力、提升市場佔有率；另一方面，公司可通過整合核輻射檢測與監測設備、核輻射防護等產品線和研發能力，大幅提升核生化安全偵察裝備的市場佔有率，加強核心競爭力，提高抗風險能力，以更好的業績和盈利回報股東。
公司將於2022年5月12日上午開市起復牌。
