耀高控股(01796.HK)獲萬事成國際投資折讓約57.82%提收購要約 明日復牌
格隆匯5月11日丨耀高控股(01796.HK)公吿，董事會獲賣方通知，於2022年4月29日，賣方凱朗控股有限公司、賣方擔保人、要約人萬事成國際投資有限公司及要約人的擔保人訂立買賣協議，據此，要約人同意收購且賣方同意出售銷售股份（即合共3.6億股股份，相當於公司全部已發行股本的75%），總代價為2.475億港元（相等於每股銷售股份0.6875港元）。完成於緊隨在完成日期（即2022年4月29日）簽署買賣協議後落實。
於緊接完成後及於本聯合公吿日期，要約人及與其一致行動人士於合共3.6億股股份中擁有權益，相當於公司全部已發行股本的75%。
因此，於完成後，根據收購守則規則26.1，要約人須就所有已發行股份提出要約。每股要約股份現金0.7212港元，較4月29日收市價每股1.71港元折讓約57.82%。
要約人為一間根據英屬處女羣島法例註冊成立的投資控股有限公司，其由陳怡冬先生、林崢先生、王寬先生及陳建先生分別擁有46.67%、29.33%、12%及12%權益。
陳怡冬先生於業務管理及物業投資方面擁有經驗。彼為華永能源廈門有限公司的董事及創辦人之一，持有該公司39%股權。該公司為一間於2019年於中國註冊成立的公司，主要從事商品（如鋼鐵）買賣及物業投資。彼亦為廈門迅達國際貿易有限公司的實益擁有人。該公司為一間於2019年於中國註冊成立的公司，主要從事商品（如鋼鐵及化工產品）買賣，於2021年錄得逾人民幣40億元的營業額。除此之外，陳怡冬先生亦有投資及管理廈門錠龍貿易有限公司的業務。該公司為一間於2019年於中國註冊成立的公司，主要從事買賣業務。
於要約截止後，要約人有意讓集團繼續進行集團的主要業務，並將維持公司的上市地位。然而，要約人將對集團的業務活動及資產進行審閲，以就集團的未來業務發展制訂業務計劃及策略。
此外，公司已向聯交所提出申請股份自2022年5月12日上午九時正起在聯交所恢復買賣。
