中國交建(601800.SH)：擬分拆公規院、一公院、二公院重組上市
格隆匯5月11日丨中國交建(601800.SH)公佈關於分拆所屬子公司中交公路規劃設計院有限公司中交第一公路勘察設計研究院有限公司中交第二公路勘察設計研究院有限公司重組上市的預案，祁連山擬將其截至評估基準日全部資產及負債置出，並與公司下屬公規院100%股權、一公院100%股權、二公院100%股權和中國城鄉下屬西南院100%股權、東北院100%股權、能源院100%股權中的等值部分進行資產置換。
祁連山向公司、中國城鄉發行股份購買公規院100%股權、一公院100%股權、二公院100%股權、西南院100%股權、東北院100%股權和能源院100%股權與擬置出資產的差額部分，並募集配套資金。上述交易構成中國交建分拆子公司公規院、一公院、二公院重組上市。
通過此次分拆重組上市，公司將公規院、一公院、二公院重組上市後的新主體打造成為下屬工程設計諮詢領域的獨立上市平台，通過上市融資增強資金實力，通過資本運作，進一步強化頂層設計、深化結構改革、整合內外資源、提升品牌價值，實現高質量發展。
公司為中國領先的交通基建企業，圍繞“大交通”、“大城市”，核心業務領域分別為基建建設、基建設計和疏浚業務，業務範圍主要包括國內及全球港口、航道、吹填造地、流域治理、道路與橋樑、鐵路、城市軌道交通、市政基礎設施、建築及環保等相關項目的投資、設計、建設、運營與管理。公司憑藉數十年來在多個領域的各類項目中積累的豐富營運經驗、專業知識及技能，為客户提供涵蓋基建項目各階段的綜合解決方案。
公司所屬子公司公規院、一公院、二公院主要從事工程勘察、設計諮詢以及監理檢測業務，主要聚焦於交通領域。公規院、一公院、二公院負責為交通基礎設施提供綜合技術解決方案，業務覆蓋公路、橋樑、隧道及沿線設施等領域，為業主提供包括評估、規劃、可研、勘察、設計、監理、諮詢和項目管理等工程相關服務，服務週期覆蓋交通工程項目前期建設運營至後期基礎設施養護。
公規院、一公院、二公院與公司其他業務板塊之間保持高度的業務獨立性。此次公司分拆公規院、一公院、二公院重組上市不會對公司其他業務板塊的持續經營造成實質性影響。
