靖遠煤電(000552.SZ)：擬收購煤一公司、華能公司100%股權
格隆匯5月9日丨靖遠煤電(000552.SZ)公佈，公司與控股股東靖遠煤業集團有限責任公司(“靖煤集團”)擬簽訂《股權轉讓協議》，公司擬收購靖煤集團持有的甘肅煤炭第一工程有限責任公司(“煤一公司”)、甘肅華能工程建設有限公司(“華能公司”)100%股權並承接有關股東權利和義務，此次股權收購後，公司持有煤一公司、華能公司100%股權，煤一公司、華能公司將成為公司全資子公司。
以深圳市鵬信資產評估土地房地產估價有限公司出具的資產評估報吿為依據，經雙方協商一致，確定煤一公司的收購價格為12252.49萬元，華能公司的收購價格為7103.1萬元，合計股權轉讓價款19355.59萬元。
煤一公司、華能公司均為建設部核准的礦山工程、房屋建築工程施工及安裝企業，先後承建過華亭煤業集團、山西大同煤業集團、神華集團、寧夏煤業集團、金川集團、國電靖遠電廠、大唐西固電廠等大型企業工程施工，企業資質良好、施工技術管理隊伍過硬、經驗豐富。為滿足公司下屬生產礦及子公司日常運維，項目建設、施工需要，公司每年同煤一公司、華能公司發生金額較大的關聯交易，涉及礦建、土建、安裝等工程施工。本次收購後，煤一公司、華能公司成為公司全資子公司，能夠有效減少公司每年發生的關聯交易，降低交易成本，提高公司獨立經營能力，進一步規範公司運作。
煤一公司、華能公司主要從事建築智能化工程施工，礦產資源地質勘探，特種設備安裝改造修理、維修，電力設施的安裝、維修和試驗等業務，為公司上游企業，具有提供建築、安裝、工程施工、礦建等業務的良好資質和豐富經驗。此次收購完成後，煤一公司、華能公司將成為公司全資子公司，公司新增建築施工業務，可為公司下屬礦井日常採掘生產和項目建設提供更加便利和快捷的服務，使煤炭生產更加符合安全監管要求，促進公司煤電化主業和基建施工產業協同發展，有利於提升公司競爭力，延伸公司產業鏈，提高公司抗風險能力。
