信和置業(00083.HK)擬透過合營企業收購物業權益
格隆匯5月6日丨尖沙咀置業集團(00247.HK)及信和置業(00083.HK)聯合公佈,2022年5月6日,PRE 17 已根據銷售委員會與PRE 17 訂立的認沽及認購期權協議行使認購期權,以購買價7億新加坡元(相當於約39.97億港元)向擁有人收購該物業。
該物業目前建於該地塊上名為 Golden Mile Complex 的發展項目,包括 Management Corporation Strata Title Plan No. 446 中的所有分層地段及共同物業,現有總樓面面積約5.67萬平方米。該地塊為位於5001 Beach Road, Golden Mile Complex, Singapore 199588名為Lot 359T of Town Subdivision 15的一幅地塊(包括於第83冊第94頁業權證書),其土地面積約1.35萬平方米。
PRE 17 由合營企業(由信和置業的全資附屬公司 - 惠強與 FE Civil Engineering 按 50:50 的基準組成)及 PRE 16(彼乃獨立於信和置業及尖沙咀置業的第三方 Perennial Singapore Investment Holdings Pte. Ltd.的全資附屬公司)分別擁有50%及50%股權,以參與收購該物業及承接發展項目。惠強以擁有合營企業的50%股權實益擁有 PRE 17 的25%股權,從而實益擁有該物業及發展項目的25%權益。基於惠強於 PRE 17 的 25%實益股權,其須承擔的收購該物業的購買價連同發展項目的估計成本的應占總額約為3.48億新加坡元(相當於約19.871億港元)。
