金圓股份(000546.SZ)：與欣旺達、川恆股份有意向收購阿根廷Goldinka Energy S.A.公司部分股權
格隆匯5月5日丨金圓股份(000546.SZ)公佈，公司子公司浙江金圓中科鋰業有限公司(“金圓中科”或“甲方1”)、欣旺達電子股份有限公司(“欣旺達”或“甲方2”)及貴州川恆化工股份有限公司(“川恆股份”或“甲方3”)與Víctor Pablo Zoltan (“乙方1”)、Sergio Zoltan Barroso (“乙方2”)簽署《項目排他性盡職調查協議》。
根據《中華人民共和國民法典》、《中華人民共和國公司法》和《阿根廷一般公司法》及其它有關法律、法規的規定，就甲方1、甲方2、甲方3或共同組成的企業(以下統稱：甲方)有意向收購乙方1、乙方2(以下統稱：乙方)出售的其持有的阿根廷Goldinka Energy S.A.公司部分股權事宜，雙方已同意簽訂獨家盡職調查協議，期限截至阿根廷時間2022年6月16日20:00(“期限”)。在此期間，雙方應就簽署正式的股權買賣協議進行協商。
公吿顯示，Goldinka Energy SA (Argentina)是一家阿根廷資源公司，其股東打算出售部分股權。該公司擁有本協議附件2中描述的礦業項目100%的權益，其總估值不低於8000萬美元，分為以下三個項目：
項目一：Kaias項目，面積約為1400平方公里，位於阿根廷胡胡伊(Jujuy)省Salinas Grandes-Guayatayoc盆地，Goldinka擁有排他性發現特許權，並已提交了申請勘探權的環境影響報吿，預計將於2022年內取得初步勘探權；
項目二：LagunaCaro項目位於阿根廷卡塔瑪卡(Catamarca)省，靠近Hombre Muerto鹽沼，佔地4500公頃，Goldinka已獲得初步勘探許可，並且已完成和依法提交了初步勘探成果報吿，目前正在提交投資計劃和環境影響報吿，申請繼續進行深入勘探。預計將在未來3至6個月內獲得批准。
項目三：La Mula, La Verde, La Vela項目，佔地3500公頃，位於阿根廷拉里奧哈(LaRioja)省的拉古納布拉瓦附近。Goldinka擁有全部權利，需要立即在礦業登記處進行重新登記。Goldinka在“LaMula”已經完成踏勘和物探等初步地質工作，並依法提交了報吿，對Li, K, Na, Ca等元素進行抽樣，結果比較積極。但Goldinka目前尚未開展深入的勘探工作和進行資源評價。
此次排他性盡職調查協議的簽署有助於發揮合作雙方資源與優勢，有利於推進公司在海外探尋鋰資源的進程，加快國外鋰資源的儲備。此次合作是基於公司推進鋰資源產業的需要，符合各方共同的發展願景，是為保障公司長期穩定發展，有利於提高公司核心競爭力和盈利能力，符合公司發展戰略。
